AMENDMENT NO. 1
CONTRACT FOR PROFESSIONAL SERVICES
The City of Corpus Christi, Texas hereinafter called "CITY ", and Hargreaves Associates hereinafter
called "CONSULTANT," agree to the following amendment to the Contract for Professional Services for
Bayfront Development Plan Phase 3 (Project No, 6511) as authorized and amended by:

Exhibit "A " SCOPE OF SERVICES, ADDITIONAL SERVICES shall be amended to re -align
additional services as follows:
• CVB LUNCHEON AND ECONOMIC SUMMIT PRESENTATIONS
• TAX INCREMENT REINVESTMENT ZONE (TIRZ) AND DOWNTOWN SPECIAL
ASSESSMENT WORK
In the original contract, EXHIBIT "D ", SUMMARY OF FEES shall be modified and is attached as
Amendment No. 1 Exhibit "A" for a revised fee not to exceed $26,670.00 (Twenty Six Thousand Five
Hundred Seventy Dollars and Zero Cents) for a total restated fee not to exceed $11,341,707.50 (One
Million Three Hundred Forty One _Thousand Seven Hundred Seven Dollars and Fifty Cents).
All other terms and conditions of December 13, 2011 contract between the City and Consultant will
remain in full force and effect.

Special Assessment.
HR&A will participate in two additional Executive Committee meetings
Provide approximately z -3 hours of client / team support through the end of the Schematic
Design in order to revise and finalize the funding strategy
The fee for this task includes 5% for Hargreaves Associates management and coordination,
Reimbursable expenses for two 1 — person trips will be covered with the budget in the existing
contract.

b. "Economic benefit ". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public

c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
