HomeMy WebLinkAboutC2012-401 - 11/2/2012 - NAr MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding (hereinafter referred to as "MOU ") is entered into this 2_' 14 day of KI0Vt(ytb Pa! 2012, by and between the City of Corpus Christi, a Texas home rule municipal corporation, acting by and through its duly authorized City Manager (hereinafter referred to as "CITY') and the Friends of the Corpus Christi Museum of Science and History, a Texas non -profit corporation, acting by and through its Board of Directors (hereinafter referred to as "FRIENDS "). WHEREAS, the City owns the Corpus Christi Museum of Science and History, a scientific and cultural institution (hereinafter referred to as "Museum "); WHEREAS, the purpose of the FRIENDS is to promote and encourage interest in the Corpus Christi Museum of Science and History and work in close connection with the Museum Director; NOW THEREFORE, it is hereby agreed by and between the CITY and the FRIENDS as follows: SECTION 1 PURPOSE The purpose of this MOU is to outline the roles and responsibilities of the parties. The following MOU reflect our understanding of the matters described but are not legally binding and do not impose an enforceable obligation on either party. SECTION 2 ROLES AND RESPONSIBILITIES OF CITY a) The CITY owns the Corpus Christi Museum of Science and History and its collections. b) The CITY and the Museum Director may seek input from FRIENDS regarding matters of support and development of the Museum and other issues that may affect Museum operation. c) The Museum Director determines the content of educational programs and exhibits at the Museum. d) The Museum may receive and deposit payments for FRIENDS membership sales and donations to the FRIENDS on behalf of the Museum. SECTION 3 ROLES AND RESPONSIBILITIES OF FRIENDS a) The FRIENDS operate exclusively for charitable and educational purposes specifically to support and aid the Corpus Christi Museum of Science and History. b) The FRIENDS seek to support the Museum through membership sales, grant requests, sponsorship /underwriting solicitation, the solicitation of charitable donations and other means available to non -profit corporations. c) The FRIENDS provide funding to the Museum to support collections care, educational programs, exhibits and other needs to support the educational mission of the Museum. d) The FRIENDS with concurrence of the Museum Director may use the collections of the Museum as an intellectual property resource for educational outreach and fund raising. e) The FRIENDS may provide other Museum support and development services consistent with the missions of the Museum and FRIENDS. 2012 -401 11/02/12 Friends of the Museum Page 1 of 3 INDEXED f) The FRIENDS may provide advice and input to the CITY on matters that may affect the Museum operation. g) The FRIENDS, its directors, officers, agents and volunteers are not considered CITY employees. FRIENDS are solely responsible for all directors, officers, and volunteers acts and omissions when rendering services under this MOU. SECTION 4 TERM This agreement shall be in force one (1) year from the date it is fully executed and shall be automatically renewed each year on the commencement date SECTION 5 PUBLIC INFORMATION ACT (PIA) The parties acknowledge and agree that any information furnished to the City under this instrument is subject to the Public Information Act (Tex. Gov't Code Ann. §552.002 et seq.). SECTION 6 MODIFICATION Modification to this instrument shall be made by mutual consent of the parties in writing, signed and dated by both parties. SECTION 7 TERMINATION Either party, in writing, may terminate the instrument in whole, or in part, at any time before the date of expiration.
