Between The City of Corpus Christi and
MuniServices, LLC
THIS AMENDMENT NO.4 is made as of January 5, 2012, by and between the City of Corpus Christi, a
municipal corporation of the State of Texas (City) and MuniServices, LLC a Delaware limited liability
company, and its subsidiaries and affiliates (MuniServices) (collectively, the "Parties ").
RECITALS
• On or about January 6, 2009, City and MuniServices entered into an agreement to provide Sales
Tax Compliance Review Services (the "Agreement ").
• The initial term of the Agreement was for a one year period. On an annual basis the Parties have
extended the term for an additional one year period. The last amendment extended the term of
the Agreement to January 6, 2013.
• The Parties desire to amend the Agreement, extending the term for an additional one year
period.
The Parties therefore agree as follows:
1. Delete Section 5.1 of the Agreement and replace with the following:
5.1 Term. This Agreement shall be effective as of the date of the last signature hereto and shall
continue in full force and effect until January 6, 2014. Notwithstanding this section (5.1), if the
term set forth in any Addendum attached to this Agreement differs from the term of this
Agreement, the term of the Addendum is governed by the language in the Addendum. If any
Addendum attached to this Agreement is silent about the term of the Addendum then the
provisions of this section (5.1) govern the term of the Addendum.
2. Other terms. All other terms and conditions of the Agreement remained unchanged.
The parties are signing this Amendment on the date stated in the introductory clause.
