TO CONTRACT FOR
PROFESSIONAL SERVICES
The City of Corpus Christi, Texas hereinafter called "City ", and Freese and Nichols, Inc.
hereinafter called "CONSULTANT ", agree to the following amendments to the Contract for
Professional Services for Staples Street Bond Issue 2008 — Phase 1 from Saratoga to
Holly (Project No. 6494) and Phase 2 from Holly to Williams (Project No. 6495) as
authorized by:

In the original contract, Exhibit "A ", Section 1. SCOPE OF SERVICES, Section A. Basic
Services, 4. Construction Phase shall be amended to provide the City with additional
Construction Phase services as listed below.
• Provide revised storm water drawing to encase AT &T lines within a storm water box.
Coordinate with AT &T and project team for constructability.
• Review additional Pre -CCTV videos provided by contractor for pipe bursting
• Coordinate with project team and manufacturers for closed bottom FRP manholes and
additional submittal reviews
• Additional meetings with project team to determine a revised scope of work for the 24"
water line offsets
• Provide construction drawings and coordination for two storm water junction boxes at
Cain and Bonner to encase the 24" water line
• Provide a revised water and wastewater plan /profile drawings to City Development
Services to include water and sewer service at 5521 S. Staples
• Coordinate and provide revised wastewater service drawing for NE corner of Staples
and Williams (former Golden Corral property)
• Additional meetings to review revised phasing and schedule
• Provide revised traffic control plans for combined phases of work to open Phases 6,
13, 14, and 15B to traffic
• Provide revised design layout and foundation detail for the pedestrian signals at the
SE and SW corners of Williams and Staples due to conflicts with the existing 7' x 6'
storm water box
• In the original contract, Exhibit "A ", Section 3. FEES shall be modified for a total fee not to
exceed $49,541.00 (Forty Nine Thousand Five Hundred Forty one Dollars and Zero
Cents), for a total restated fee not to exceed $2,027,183.00 (Two Million Twenty Seven
Thousand One Hundred Eighty Three Dollars and Zero Cents) as shown in the
attached Amendment No. 7, Exhibit "B."

Amendment No. 7 - Additional Construction Phase Activities
Dear Mr. Biles,
Enclosed is our Amendment 47 for your consideration. Please note that this amendment provides for
additional tasks completed for the Construction Phase on the Staples Street project. The additional
Construction Phase activities in this proposal have been necessary due to utility conflicts encountered
during construction, requested efforts to design additional utilities and storm water improvements and
re- design of traffic control plans to facilitate the combined phases of work. A construction phase
allowance is also included to cover future out of scope activities.

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi, Texas.
b. '`Economic benefit ". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinruisltable from its effect on members of the public
in general or a substantial segment thereof
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
part -time basis.. but not as an independent contractor.
d. "Firm." Any entity operated for economic ;gin whether professional. industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the forth of sole proprietorship, as sell employed
person, partnership, corporation, joint stock company, joint venture r eceivership or trust and
entities which for purposes of taxation are treated as non -profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City
Manager, Assistant City Managers, Department and Division Heads. and Municipal Court
Judges of the City of Corpus Christi, Texas.
f. "Ownership Interest." Legal or equitable interest. whether actually or constructively held,
in a firm, including when such interest is held through an ageru, oust, estate, or holding
entity. "Constructively held" refers to holdincs or control established through voting trusts,
proxies, or special terms of venture or partnership agreements. "'
