I. Recitals
WHEREAS, the State Energy Conservation Office ( "SECO") of Agency and Grantee entered into
Contract No. CM 1243, ( "Agreement ") effective March 16, 2012, for services related to the Alternative
Fuels Program; and
WHEREAS, on July 25, 2012, Agency and Grantee executed Amendment No. I modifying the Statement
of Services to be Performed and extending the terns of the Agreement through March 31, 20I3, and
WHEREAS, Agency and Grantee desire to execute this Amendment No. 2 ( "Amendment ") to amend the
Agreement by extending the term through June 30, 2013. '
NOW, THEREFORE, Agency and Grantee hereby agree as follows:
IL Amendments
I. The term of the Agreement is hereby extended from March 31, 2013 to June 30, 2013.
2. Attachment A to the Agreement, "Statement of Services to be Performed," is deleted in its
entirety and replaced with the revised Attachment A, "Statement of Services to be Performed"
attached hereto and incorporated by reference for all purposes.
III. Incorporation of Amendments
1. This Amendment, together with the Agreement, as amended, represent the entire agreement
between the parties concerning the subject matter of the Agreement and supersede any and all
prior or contemporaneous oral or written statements, agreements, or negotiations,
2. In the event of conflicting language between the Agreement, as amended, and the language in this
Amendment, the language in this Amendment No. 2 shall control.

STATEMENT OF SERVICES TO 13E PERFORMED
A. Grantee shall perform all of the services described in this Attachment A, or otherwise required by
this Agreement, ( "services "). These services include, but are not limited to, the furnishing of all
pet-sonnet and the procurement of all equipment, supplies, and other items necessary to provide
those services in compliance with this Agreement. Grantee sliall provide all services in
accordance with the Standards of Performance established by Agency for these services. Grantee
shall review and implement Agency recommendations, as Agency adopts them from time to time,
so that the services may be expeditiously and satisfactorily completed. Grantee shall meet with
Agency at such times as Agency may reasonably request to discuss the progress of services and
any other matters that may arise in regard to this Agreement.
B. Grantee shall perform all of the following:
I . Purchase compressed natural gas (CNG) conversion kits and convert five (5) Ford F -150
Pick -tip Trucks to CNG.
2. Purchase CNG conversion kits and convert four (4) Ford E -250 Passenger Vans to CNG.
3. Purchase CNG conversion kit and convert one (1) Ford F -350 Crew Cab Truck to CNG.
4. Lease Purchase five (5) CNG -OW Peterbilt 365 Dump Trucks.
C. Grantee shall provide the following services during the period of this Agreement and all services reasonably
related to them. Agency may request additional records, information or reports related to the services
hereinafter described and funded by Agency pursuant to Attachment B. These services are as follows:
