AMENDMENT NO.8
TO CONTRACT FOR
PROFESSIONAL SERVICES
The City of Corpus Christi, Texas hereinafter called "CITY", and FREESE AND NICHOLS INC., hereinafter called
"CONSULTANT," agree to the following amendment to the Contract for Professional Services for Yorktown Boulevard
Phase 1 Staples to Cimarron (Project No. 64641 & Phase 2 — Cimarron to Rodd Field BOND 2008 (Project No.,
E10100), as authorized and amended by:

Amendment No. 1 November 22, 2009 Administrative Approval $48,500.00
Amendment No. 2 Aril 9, 2010 Administrative Approval $48,000.00
Amendment No. 3 May 5, 2010 Administrative Approval $42,812.00
Amendment No. 4 Au ust 17, 2010 Motion No. M2010-189 $636,003.00
Amendment No. 5 August 1, 2011 Administrative Approval $0.00
Amendment No. 6 July 19, 2012 Administrative Approval $6,959.00

• in the original contract, Section I. SCOPE OF SERVICES, Part A. Basic Services, 4. Construction Phase shall be
amended to include additional Construction Phase as shown in the attached Amendment No. 8. Exhibit"A".
• In the original contract, Section III. FEES shall be modified as shown on the attached Amendment No. 8 Exhibit "B"
for a fee not to exceed $21,105.00(Twenty One Thousand One Hundred Five Dollars and Zero Cents), for a total
restated fee not to exceed $1,837,310.00 One Million Eight Hundred Thirty Seven Thousand Three Hundred Ten
Dollars and Zero Cents). Monthly invoices will be submitted in accordance with Exhibit"C".
All other terms and conditions of the April 24, 2009 contract and amendments between the City and Consultant will remain
in full force and effect.

1. Assist in resolution of outstanding items associated with transition from Phase 1
contractor to Phase 1A contractor.
2. Assist in resolution of stamped concrete paving colorttexture differences.

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the City
Council of the City of Corpus Christi,Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to have an
effect on that interest that is distinguishable from its effect on members of the public in general or a
substantial segment thereof:
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or part-
time basis,but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or commercial,and
whether established to produce or deal with a product or service, including but not limited to,entities
operated in the form of sole proprietorship, as self-employed person, partnership, corporation,joint
stock company,joint venture, receivership or trust, and entities which for purposes of taxation are
treated as non-profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City Manager,
Assistant City Managers, Department and Division licads,and Municipal Court.fudges of the City of
Corpus Christi,Texas.
f. "Ownership Interest." 1_egal or equitable interest, whether actually or constructively held, in a
firm, including when such interest is held through an agent, trust, estate, or holding entity.
"Constructively held" refers to holdings or control established through voting trusts, proxies, or
special terms of venture or partnership agreements."
g. "Consultant."Any person or firm, such as engineers and architects, hired by the City of Corpus
Christi for the purpose of professional consultation and recommendation.
