HomeMy WebLinkAboutC2013-303 - 8/16/2013 - NA I: AGREEMENT BETWEEN CITY OF CORPUS CHRISTI AND THE BEAUTIFY CORPUS CHRISTI ASSOCIATION This agreement ("Agreement") between the City of Corpus Christi ("City") and the Beautify Corpus Christi Association ("BCCA") formalizes the parties' joint mission to lead efforts to achieve and maintain a cleaner, healthier and more beautiful environment for the enjoyment of residents and visitors to the City. BCCA will work closely with City staff to assist in addressing issues related to environmental activities and education, especially as it relates to illegal dumping, litter, recycling and graffiti. The purpose of this Agreement is to solidify our coordinated efforts in the areas of: • Providing leadership during community events for maintaining a sustainable environment; • Promoting and assisting with City-wide environmental programs; • Participating in anti-graffiti efforts including sustaining efforts of volunteer groups and the Corpus Christi Police Department; • Increasing communication throughout the communities regarding anti-litter and beautification activities; • Encouraging neighborhood cleanup campaigns; • Improving attitudes about recycling and increasing participation in the recycling program, and increasing waste diversion through the new City recycling initiatives; and • Distributing information and educational materials regarding environmental subject matters. This Agreement is effective from date of execution through March 2014. BCCA shall designate the following City officials as Ex-Officio (non-voting) members of its Board of Directors: Director of Solid Waste Services, Director of Parks and Recreation Operations, City of Corpus Christi Police Chief or their designees. The City shall provide a grant of $25,000 to BCCA in return for BCCA's efforts to implement the scope of work, described in Attachment A. BCCA shall agree to indemnify and hold harmless the City of Corpus Christi as established in Attachment B. This agreement may be terminated by either party, by providing 30 days written notice, with or without cause. If terminated, a prorated amount of the $25,000 grant will be refunded to the City. Future agreements are dependent upon inclusion of appropriated and designated funding in the City's approved annual budget. 2013-303 .� . BCCA is encouraged to use funds for litter abatement and beautification projects As part of the City of Corpus Christi's annual contract with Beautify Corpus Christi Association (BCCA), the City requires that: • All work to be completed in City parks adhere to the Parks& Recreation Master Plan. All projects related to parks should not only adhere to the master plan but require approval of the director and include a sustainability plan that does not include City staff or resources (or at least keeps the burden at the absolute minimum). • Any funds related to this contract should be used for projects and sub- grants. Support should continue for the Trees for 2012 campaign. • Financial reports and work plans be submitted to the Assistant City Manager for Public Works and Utilities annually- Annual reports are due to the City within thirty days of fiscal year. • All projects subject to the approval of the City of Corpus Christi Lastly, funds are not to be used for any maintenance projects unless mutually approved by the BCCA board and City staff. THE FOLLOWING REQUIREMENTS WILL BE PRESENTED TO THE CITY'S EX-OFFICIO BOARD MEMBERS OR THEIR DESIGNEES: Reporting The BCCA Board of Directors shall provide annual reports. The reports should summarize the activities included in the terms of the contract and the progress made. The annual reports should include copies of all monthly financial statements approved by the BCCA Board of Directors during the period. The report must summarize activities carried out per the contract and work plan, all accomplishments, awards and any deviations. Review of financial records City funds must be maintained separately from other BCCA funds. The City has the right to inspect any City funds utilized by BCCA within two weeks of request. Contract management Management and primary contact for compliance with this agreement shall be the Assistant City Manager of Public Works and Utilities or his designee. E Il,l, d ��1996 a°°Qfl!irg,u 0 ZVU2� , Attachment B INDEMNIFICATION AND HOLD HARMLESS The undersigned agrees to indemnify, save harmless and defend the City of Corpus Christi, its agents, servants, and employees, and each of them against and hold it and them harmless for any and all law suits, claims, demands, liabilities, losses and expenses, including court costs and attorneys` fees, for or on account of any injury to any person, or any death at any time resulting from such injury, or any damage to any property, which may arise or which may be alleged to have arisen out of or in connection with the work covered by this agreement. The foregoing indemnity shall apply except if such injury, death, or damage is caused by the sole or concurrent negligence of the City of Corpus Christi, its agents, servants, or employees or any other person indemnified hereunder.
