CONSENT AGREEMENT
Whereas, On February 24, 1998, the City Council of Corpus Christi, Texas authorized the City
Manager or his designee to execute a Ground and Tower Lease Agreement ("Lease Agreement")
between the City of Corpus Christi (Lessor) and San Antonio MTA, L.P., regarding the or
Alameda Elevated Water Storage Tower located at 509 Carmel Parkway.
Whereas, San Antonio MTA, L.P. was acquired by Verizon Wireless, and Verizon Wireless is a
successor entity to San Antonio MTA, L.P. Vinculums is a contractor for Verizon.
Whereas, pursuant to the Lease Agreement between City of Corpus Christi (Lessor), and Verizon
Wireless (Lessee), Verizon Wireless will be performing some maintenance upgrades on its
communications site located at the Leased Site as described in the Lease Agreement. Vinculums
shall notify the City of Corpus Christi Director of Water Operations with the name and contact
information for the Verizon contractor scheduled to perform this work at the Leased Site.
Now therefore, the parties agree as follows:
By signatures below, consent is hereby granted for the work in the Leased Site (which is
described in the Lease Agreement), said work is described in the attached and incorporated
Statement of Work, subject to Verizon or its contractor's ("Contractor") compliance with the
terms and conditions of the Ground and Tower Lease Agreement ("Lease Agreement") between
the City of Corpus Christi (Lessor) and San Antonio MTA, L.P., regarding the Alameda
Elevated Water Storage Tower located at 509 Carmel Parkway, and Contractor's compliance
with the attached terms and conditions. Vinculums shall require the Contractor to acknowledge
receipt and compliance with the attached terms and conditions while Contractor performs any
work at the Leased Premises.
This consent agreement takes effect on date of last signature.

Terms and Conditions regarding use of City property at 509 Carmel Parkway,
Corpus Christi, Texas which is identified as the"Leased Site" in the Lease
Agreement between between the City of Corpus Christi (City) and San Antonio
MTA, L.P., regarding the or Alameda Elevated Water Storage Tower located at
509 Carmel Parkway ("Lease Agreement").
Contractor agrees to comply with the following terms and conditions:
A. Contractor's use of the Leased Site may not interfere with the operations of the
City's Water Department.
B. Contractor must consult with City Traffic Engineering Office for traffic control
plan. Contractor may not close or barricade a public street, or any portion of the
public street until the City Traffic Engineering Office has approved Vinculums'
traffic control plan and paid applicable street closure, Traffic Control, and Traffic
Engineering permit fees.
C. Before digging or doing any excavation on the Leased Site, Contractor must
verify depth and location of existing Water, Wastewater, Gas, AEF (C.P.& L.),
Southwestern Bell Telephone., Time Warner, and Grande Communications lines,
as well as all other telecommunication providers in the area. Prior to the start of
any excavation, the Permittee or Permittee's Agent must call the Texas One Call
System, at (800) 245-4545, 1-800-DIG-TESS, and Lone Star Notification Center,
at (800) 669-8344, for locations of existing utilities. A City Inspector may request
a utility line be uncovered to verify its depth or location.
D. Contractor shall hand dig trench within water tower compound. an estimated
I64`.
E. Contractor may not begin work without 48 hours prior notice to the AEF (C.P,&
L), S.W.B.T., Grande Communications, Time Warner, Water, Gas, Storm Water,
and Wastewater Divisions along with the telecommunication providers in the
area.
F. Contractor must properly tamp backfill around existing utilities in accordance
with the City of Corpus Christi Standard Specifications, including City Water
Distribution System Standards.
G. If damage occurs to any gas, storm water or wastewater line, as determined by the
City's representative, a City Gas, Water, or Wastewater Division crew will be
brought in and allowed immediately to make all repairs. All City's costs (labor
and materials) associated with the repairs must be paid by the Contractor within
30 days of City Manager's invoice thereof. City's representatives will determine
the extent of damage and amount of repairs to the utility line(s).
H. Prior to utilizing the Leased Site, Contractor must obtain all required Federal,

State and Local permits.
I. Contractor must take every precaution not to disturb the soil surrounding any
existing water or wastewater Iine, including all thrust blocks.
J. Damage to any City property, or driveways, culverts, head walls and any other
structure, public or private, must be repaired by Contractor at its expense within
30 days after being notified of damage to same.
K. Contractor may not store or leave any equipment or material in City property
overnight.
L. Contractor must notify Deputy Director of Water Operations, or his designee, at
least 24 hours prior to starting work.
M. Contractor must provide proper safety and security devices to prevent possible
injuries or accidents. No open trenches or pits may be left overnight. All trenches
must be backfilled promptly, the backfill properly compacted, surface restored,
and the work done in a neat and workmanlike manner.
N. Barrel type barricades, approved by City's Traffic Engineering Office, will be
placed adjacent to all open pits at Contractor's expense.
O. Because the Leased Site is in full view of the public, Contractor must maintain the
Leased Site in neat and orderly fashion without visible trash, paper and other
unsightly debris.
P. City consent may be revoked at any time when deemed in the best interest of the
City as determined by the City Manager or designee.
Q. Contractor shall comply with all applicable Federal, State and Local laws,
ordinances and regulations.
R. Contractor has received a copy of the Lease Agreement. Contractor
shall comply with all provisions of the Lease Agreement includinp, but not
limited to indemnification provisions and insurance provisions
S. Contractor must provide a copy of the insurance certificate prior to initiating any
work on City property. The Contractor's insurance certificate must name the City as an
additional insured.
T. As a contractor for Verizon Wireless, and by my authorized signature below,
Contractor agrees to comply with all terms and conditions of the Lease Agreement
including insurance and indemnification provisions set forth in the Lease Agreement. A

insured is attached to this letter. Contractor represents that Contractor has obtained all
permits required for this work. Contractor agrees to perform the work at the site in
compliance with all applicable Federal, State, and Local laws, ordinances and
regulations. Contractor must return the City property to the condition as it existed prior
to the work at the site.
U. Contractor acknowledges that the City's consent may be revoked at any time when
deemed in the best interest of ---the City as determined by the City Manager or his
designee.
V. Contractor acknowledges that the City reserves the right to go upon the City property
to inspect the work the right to alter the work schedule when deemed in the best interest
of the City.
W. Contractor shall return one signed original of these terms and conditions prior to
initiating any work on the City property.

On February 24, 1998, the City Council of Corpus Christi, Texas authorized the City Manager or
his designee to execute a Ground and Tower Lease Agreement ("Lease Agreement") between the
City of Corpus Christi (Lessor)and San Antonio MTA, L.P., regarding the or Alameda Elevated
Water Storage Tower located at 509 Carmel Parkway.
San Antonio MTA, L.P. was acquired by Verizon Wireless, and Verizon Wireless is a successor
entity to San Antonio MTA, L.P. Vinculums is a contractor for Verizon.
Pursuant to the Lease Agreement between City of Corpus Christi (Lessor), and Verizon Wireless
(Lessee), this letter is to notify you that Verizon Wireless or its contractor will be performing
some maintenance upgrades on its communications site located at the Leased Site as described in
the Lease Agreement.
The purpose of this maintenance activity is to make certain adjustments to Verizon's equipment
as part of an on-going effort to remain current with the latest developments in technology, and to
best serve customers and other community interests, who rely on that service. A portion of the
work will require installing a ground vault and trenching to Verizon's equipment.
While most of the maintenance activity will be conducted during normal business hours, there
may be some activity conducted after hours. All such after-hours activity, however, will be
conducted pursuant to the access terms set forth in your lease agreement. We will use our best
efforts to minimize our presence at the site to activity that is absolutely necessary. Please contact
me if you would like our contractor to coordinate construction with you.
A copy of the Scope of Work is enclosed for your reference. If you have any questions or
concerns about the intended activity or in the unlikely event that you encounter any unreasonable
disturbance to your normal day-to-day activity, please do not hesitate to contact me at
