HomeMy WebLinkAboutC2014-094 - 1/17/2014 - NA MEMORANDUM OF UNDERSTANDING FOR OPERATION OF BOOKNOOK This MEMORANDUM OF UNDERSTANDING (the "MOU") is entered into this 1st day of January 2014 (the "Effective Date") by the American Association of University Women — Corpus Christi Branch, a Texas non-profit corporation ("AAUW-CC"), and the City of Corpus Christi ("Cl') to outline the responsibilities of both parties in regards to a book sale room downstairs and a processing area upstairs ("BookNook') in the Anita and W.T. Neyland Public Ubrary. AAUW-CC and City shall be referred to herein collectively as the "Parties" and each individually as a"Party". This MOU will guide the working relationship between both Parties with respect to the BookNook. The Parties agree as follows: 1. Term; Termination. (a) This MOU shall commence on the Effective Date and shall continue in effect for two (2) year from the Effective Date hereof, provided, however, that either party may terminate 'this MOU. (b) This MOU may be terminated by any Party upon the giving of 60 days' advance written notice. (c) All property, equipment and materials provided by AAUW-CC for the BookNook and used at the BookNook will at all times belong to AAUW-CC, and the City will not claim or permit or suffer any interest to be claimed in AAUW-CC's property. Upon the termination of this MOU, AAUW-CC's will promptly return all property belonging to City in the same condition as when provided by City, reasonable wear and tear excepted. 2. City Responsibilities. (a) Facilities. The City shall provide a space in the Anita and W.T. Neyland Public Library located at 1230 Carmel Pkwy.,Corpus Christi, Texas 78411 (the "Building"). The City will communicate the Building's existing policies and procedures for emergency situations, and any changes thereto,to the designated AAUW-CC liaison(s). (b) Condition of BookNook. The City is responsible for and will maintain the BookNook at all times in a clean, repaired and presentable manner and shall be responsible for the condition of the BookNook and all janitorial, heat, light and ventilation of the BookNook and will keep the BookNook In the same condition as other similarly used facilities. (c) Security. The City will establish and implement protocols and procedures for safeguarding AAUW-CC's property and content located in the BookNook, including, without limitation, locks on the doors to the BookNook and provision of keys to a limited number of persons designated by the City and AAUW-CC . (d) Hours of Operation. From time to time the BookNook may schedule activities and events outside of the Building's normal hours of operation. The City shall coordinate after- hours schedules with AAUW-CC as needed. The City agrees to communicate changes in 1 2014-094 1/17/14 American Assoc. City shall provide copier and Printshop access to promote Book Sale periods. (f) Referrals. City shall promote the BookNook through, among other things, referrals to the BookNook and references to the AAUW-CC and the BookNook in oral presentations and written materials. (g) Branding. City shall permit the BookNook to use AAUW-CC's logo on its marketing and outreach materials. AAUW-CC shall request City's prior approval of any such materials. (h) Materials. City shall provide equipment and materials as needed, including maintaining volunteer elevator,maintaining access for computers and storage shelves. 3. AAUW-CC Responsibilities. AAUW-CC agrees to the following: (a) Staff. AAUW-CC shall provide volunteers to staff hours of operation during advertised Book Sale periods. Volunteers will be responsible for maintaining safety and accessibility to BookNook for all visitors. Volunteers will be responsible for collecting all funds during Book Sale periods. Only AAUW-CC volunteers may be allowed to work in their upstairs area. (b) Facilities. AAUW-CC shall provide furnishings and decorations for the BookNook and repaint as necessary, as determined in the sole discretion of AAUW-CC. (c) Materials. AAUW-CC shall provide equipment and materials as needed, including volunteer elevator, computers and shelving. (d) Scheduling. AAUW-CC shall work with City Building staff to schedule Book Sale periods to the benefit of all.Parties. (e) Communication; Support. AAUW-CC shall provide Book Sale materials, including flyers and posters.AAUW-CC will not share the email addresses they collect for Book Sale purposes with anyone. AAUW-CC shall also create exterior signage for the BookNook, in consultation with the City. 4. Fees and Payments. (a) City. The City shall provide the BookNook space for use at no cost to AAUW- CC. None of the Parties shall be responsible for paying the City for the BookNook, nor for paying the City for any other services provided in connection with the BookNook. (b) AAUW-CC. AAUW-CC shall provide the services described in this MOU at no cost to the City. None of the Parties shall be responsible for paying AAUW-CC for the services provided in connection with the BookNook. (c) Costs and Expenses. Each Party shall pay its own costs and expenses incurred 2 < . This MOU is entered into to be effective as of the Effective Date.
