AMENDMENT NO. 1
to
CONTRACT FOR PROFESSIONAL SERVICES
This AGREEMENT is between the City of Corpus Christi, Texas, a Texas home-rule municipal corporation,
"CITY", acting through its duly authorized City Manager or designee, and
CHUCK ANASTOS ASSOCIATES,LLC,a Texas corporation, acting through its duly authorized representative who
is Chuck Anastos, A. I. A (ARCHITECT), which agree as follows:
1. DECLARATIONS."CITY"desires to engage"ARCHITECT"to provide services in connection with City's
project, described as Signs/Signal Operations-New Shop and Office Facility(Project No.E12110)Bond 2012
PROJECT.
2. SCOPE OF WORK. "ARCHITECT" shall provide services for the PROJECT in accordance with the
accompanying Letter, Scope of Services, and Fee attached as Exhibit"A". Scope of Work is amended to include
additional Design Phase Services for the architectural master planning services of the PROJECT.
3. FEE. The"CITY"agrees to pay the"ARCHITECT"for services provided in accordance with Exhibit"A",
Scope of Services, and Fee under this AGREEMENT, a total fee not to exceed $15,000.00 (in figures), (Fifteen
Thousand Dollars and Zero Cents) (in words). A Summary of Fees is attached as Exhibit"B". Monthly invoices
will be submitted in accordance with Exhibit "C".
4. INDEMNIFICATION AND HOLD HARMLESS.The"ARCHITECT"agr- o indemnify, save harmless
and defend the "CITY", and it's agents, servants, and employees as more fully - i rth in Exhibit"D".

Dear Ms. Fudge:
Chuck Anastos Associates, LLC is pleased to submit this Proposal for the architectural master
planning services for redesigning the Bond Issue 2012 New Signs / Signals Operations Shop and
Office Facility. This Proposal is for the following architectural master planning scope of work:
1. Scheme One: One building to be located at site east of the existing Streets / Solid Waste
Building located at 2525 Hygeia Street. This scheme will be a single story plan and will
include the following:
11 A. Signals- 4,000 SF of air conditioned offices and work areas and 4,200 SF of non- air
conditioned work area;
B. Signs- 4,000 SF of air conditioned offices and work areas and 4,200 SF of non- air
conditioned work area; and
C. Traffic Engineering-3,000 SF of air conditioned offices and work areas.
ARCHITECTURE
INTERIOR DESIGN
2. Scheme Two: Two buildings to be located at site east of the existing Streets / Solid Waste
Building located at 2525 Hygeia Street with truck driveway between buildings. This scheme
will be a single story plan and will include the following:
A. Signals- 4,000 SF of air conditioned offices and work areas and 4,200 SF of non- air
conditioned work area;
B. Signs- 4,000 SF of air conditioned offices and work areas and 4,200 SF of non- air
conditioned work area; and
C. Traffic Engineering- 3,000 SF of air conditioned offices and work areas.
3. Scheme Three: One building to be located at site east of the existing Streets / Solid Waste
Building located at 2525 Hygeia Street. This scheme will be a two story plan and will include
the following:
A. Signals- 4,000 SF of air conditioned offices and work areas and 4,200 SF of non- air

We propose to provide the following architectural Master Plan services for this Project:
Master Plan Phase:
• Obtain a digital site plan from City staff describing metes and bounds, drainage
patterns, existing conditions, etc. for the possible new site;
• Field verify existing conditions at site;
• Analyze International Building Code, Texas Windstorm and TDLR requirements;
• Prepare design drawings for each of the four(4)-schemes;
• Prepare cost estimates for each scheme; and
• Meet with City staff and each user representative(s) as required for Master Planning
review and approval(s).
Clients' Responsibilities:
It is hereby agreed that the Client shall be responsible for the following:
1. The Client will provide all programmatic criteria requirements including number of departments
to be included, number of current and future employees for each department, number of trucks
and work vehicles requiring space in or around building(s), etc.;
2. The Client shall provide all required site information including a survey prior to commencement
of Master Plan Phase. If replatting, amending or rezoning of the property will be required, this
should be included in cost estimate;
3. The Client shall provide all required storm water drainage as indicated on subdivision plans;
and
4. The Client shall provide all utilities to this project site.
Compensation for the above-described master planning services shall be a flat fee of Fifteen
Thousand Dollars($ 15,000.00.)
We are prepared to commence this Project immediately upon receipt of your approval to proceed and
will have all •ree (3)-schemes completed by Wednesday, 10 September 2014.

INDEMNIFICATION AND HOLD HARMLESS
Consultant agrees to indemnify, save harmless and defend the City of Corpus Christi, and its
agents, servants, and employees, and each of them against and hold it and them harmless
from any and all lawsuits, claims, demands, liabilities, losses and expenses, including court
costs and attorneys' fees, for or on account of any injury to any person, or any death at any
time resulting from such injury, or any damage to any property, which may arise or which may
be alleged to have arisen out of or in connection with the work covered by this contract. The
foregoing indemnity shall apply except if such injury, death or damage is caused by the sole
or concurrent negligence of the City of Corpus Christi, its agents, servants, or employees or
any other person indemnified hereunder.

DEFINITIONS

Council of the City of Corpus Christi, Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to have an
effect on that interest that is distinguishable from its effect on members of the public in general or a
substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or part-
time basis, but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or commercial,and
whether established to produce or deal with a product or service, including but not limited to, entities
operated in the form of sole proprietorship, as self-employed person, partnership, corporation,joint
stock company. joint venture, receivership or trust, and entities which for purposes of taxation are
treated as non-profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City Manager,
Assistant City Managers, Department and Division Heads, and Municipal Court Judges of the City of
Corpus Christi,Texas.
f. "Ownership Interest." Legal or equitable interest, whether actually or constructively held, in a
firm, including when such interest is held through an agent, trust, estate, or holding entity.
