(the "Assignor") and PLAINS TERMINALS CORPUS CHRISTI LLC (the"Assignee"). WHEREAS, the Assignee and Assignor entered into a certain agreement entitled INDUSTRIAL DISTRICT AGREEMENT NO. 19 (the"Industrial District Agreement")with the CITY OF CORPUS CHRISTI, TEXAS (the "City"), which has an effective term beginning January 1,2015, and continuing until December 31, 2024. WHEREAS, the Assignor desires to assign all of its duties, rights, interests, and obligations under the Industrial District Agreement to Assignee; and NOW THEREFORE, IT IS AGREED that in consideration of good and valuable consideration paid by the Assignee to the Assignor, the receipt and sufficiency of which is hereby acknowledged, the parties agree that: 1. The Assignor hereby grants, transfers, conveys, and assigns to the Assignee its duties, rights, interests, and obligations in and to the Industrial District Agreement and all other benefits and advantages to be derived therefrom, to have and to hold unto the Assignee for and during the remainder of the term of the Industrial District Agreement. 2. The parties agree that this Assignment is effective as of the 18th day of November, 2014. 3. The covenants and agreements herein contained shall be binding upon and inure to the benefit of the successors and assigns of each of the parties hereto.
