CONTRACT FOR PROFESSIONAL SERVICES
AMENDMENT NO. 2
The City of Corpus Christi, Texas hereinafter called "CITY", and Naismith Engineering, Inc. hereinafter
called "ENGINEER" agree to the following amendment to the Contract for Professional Services for
Greenwood Wastewater Treatment Plant— Flare Permitting (Project No. E10173), as authorized and
amended by:
Original Agreement September 12, 2011 Administrative Approval $46,450.00
Amendment No. 1 December 18, 2012 Motion No. M2012-207 $11,250.00
Exhibit "A", Section I. Scope of Services, Part A. Basic Services, shall be amended to include
services to add the City standard front-end documents to allow the existing plan and specification set to
be procured using competitive sealed bids and as specified in the attached Amendment No. 2 Exhibit
«A„
Exhibit "A", Section III. Fees, shall be amended as specified in Amendment No. 2 Exhibit "A" for a
revised fee not to exceed $6,000.00 (Six Thousand Dollars and Zero Cents), for a total restated fee
not to exceed $63.700.00 (Sixty-Three Thousand Seven Hundred Dollars and Zero Cents). Monthly
invoices shall be submitted in accordance with Exhibit "B".
All other terms and conditions of the September 12, 2011 contract between the City and Engineer, and of
any amendments to that contract, which are not specifically addressed herein shall remain in full force
and effect.

Proposal for Contract Amendment
Dear Ms. Fudge:
As requested during our meeting with Ms. Gracie Mesa yesterday, please accept this letter as
our proposal for an amendment to our contract for the above referenced project. Based on our
discussions with your staff and personnel from the City's Utilities department, this proposal is
to provide services to add the City standard "front-end" documents to allow the existing plan
and specification set to be procured using competitive sealed bids. The plans/specifications
were originally set up for the project to be procured using job order contracting (JOC).
To accomplish this, we will prepare a set of "front-end"clocumets for the project and submit
this package to Capital Programs for review. At this time, no changes to the project drawings or
specifications are included. In addition to the time to prepare the "front-end" documents, we
have included some time to assist with the bidding process to respond to bidder questions and
issue an addendum, if required. Following the completion of the project, we will also prepare
and submit a set of as-built drawings. While Amendment No. 1 to our contract included Bid
Phase services, these services were expended during the negotiations with the City's JOC
contractors in the City's previous attempts to have the project procured through JOC.
Based on our discussions, we understand that the City would like to bid this project before the
end of the calendar year. To accomplish this, we will need to get started as soon as possible. If
we can be authorized to begin by Wednesday, November 26`x', we can have a draft package
ready by December 3nd, and with a two (2) day City turn-around on the documents, can have
them finalized and ready for advertisement by December 5`h. We understand that it may take
some time beyond this for the City to formally process this proposed amendment to our
contract and are willing to proceed with the work to meet this schedule prior to having the
amendment finalized.

INDEMNIFICATION AND HOLD HARMLESS
Consultant agrees to indemnify, save harmless and defend the City of
Corpus Christi, and its agents, servants, and employees, and each of
them against and hold it and them harmless from any and all lawsuits,
claims, demands, liabilities, losses and expenses, including court costs
and attorneys' fees, for or on account of any injury to any person, or any
death at any time resulting from such injury, or any damage to any
property, which may arise or which may be alleged to have arisen out of
or in connection with the work covered by this contract. The foregoing
indemnity shall apply except if such injury, death or damage is caused by
the sole or concurrent negligence of the City of Corpus Christi, its
agents, servants, or employees or any other person indemnified
hereunder.

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the City
Council of the City of Corpus Christi,Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to have an
effect on that interest that is distinguishable from its effect on members of the public in general or a
substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or part-
time basis,but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional,industrial or commercial,and
whether established to produce or deal with a product or service, including but not limited to,entities
operated in the form of sole proprietorship, as self-employed person, partnership, corporation,joint
stock company,joint venture, receivership or trust, and entities which for purposes of taxation are
treated as non-profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City Manager,
Assistant City Managers, Department and Division Heads,and Municipal Court Judges of the City of
Corpus Christi,Texas.
f. "Ownership Interest." Legal or equitable interest, whether actually or constructively held, in a
