CONTRACT FOR PROFESSIONAL SERVICES
This AGREEMENT is between the City of Corpus Christi, Texas, a Texas home-rule municipal corporation,
"CITY", acting through its duly authorized City Manager or designee("City Engineer"),and HDR Engineering,Inc.,
a Nebraska corporation with offices in Corpus Christi, Texas, acting through its duly authorized representative who
is Arthur B. Colwell, P.E., (ENGINEER), which agree as follows:
1. DECLARATIONS. "CITY" desires to engage "ENGINEER" to provide services in connection with
City's project, described as follows: City of Corpus Christi Municipal Planning Organization (MPO) Bicycle
Mobility Planning Technical Assistance (Project NO. El 5115) "Project".
2. SCOPE OF WORK. "ENGINEER"shall provide services for the PROJECT in accordance with the
accompanying Letter, Scope of Services, and Fee attached as Exhibit"A".
3. FEE. The"CITY"agrees to pay the"ENGINEER"for services provided in accordance with Exhibit
"A", Scope of Services, and Fee under this AGREEMENT, a total fee not to exceed $49,774.00, (Forty Nine
Thousand Seven Hundred Seventy Four Dollars and Zero Cents). Monthly invoices shall be submitted in
accordance with Exhibit"B".
4. INDEMNIFICATION AND HOLD HARMLESS. The "ENGINEER" agrees to indemnify, save
harmless and defend the "CITY", and it's agents, servants, and employees as more fully set forth in Exhibit"C".
5. OWNERSHIP OF DOCUMENTS. All documents including contract documents (plans and
specifications), record drawings, contractor's field data and submittal data will be the sole property of the City and
may not be used again by the Engineer without the express terms written consent of the Director Capital Programs.
However, the Engin-- -•-y use standard details that are not specific to this project.

Dear Mr. Shoemaker:
HDR Engineering, Inc. (HDR) is pleased to submit this proposal to provide professional
planning and engineering support services and technical assistance relating to bicycle mobility
planning for the Corpus Christi Metropolitan Planning Organization (MPO). The proposed
nature of the work is to provide technical assistance to the MPO with development of Phase I,
Bicycle Mobility, of their Strategic Plan for Active Transportation for the MPO Project Area.
The City of Corpus Christi and other partners, in coordination with the MPO, determined that
the MPO was the appropriate entity to lead the creation of the Strategic Plan for Active
Transportation. Mobility is inherently an inter-jurisdictional issue, and, as an entity with
regional perspective, the MPO has the capacity and the capability to undertake this strategic
planning effort. While the Unified Planning Work Program for FY15 includes an allocation to
support MPO staff time in this effort, the MPO is relying upon key partners like the City of
Corpus Christi to support the involvement of outside consultants to accomplish select pieces of
the planning process. Phase I will answer three fundamental questions to prescriptively
inform capital roadway projects in the MPO project area:
1. Where should bike facilities be installed to create a cohesive bicycle mobility network
that connects key destinations, functionally expands the reach of the transit network,
and accommodates a diversity of riders?
2. What type of facilities (e.g. on-street bike lanes, off-street cycle tracks, etc.) should be
installed on which segments?
3. How, i.e. to what standards, should those facilities be designed and maintained?
For purposes of this agreement, the City of Corpus Christi will be referred to as the Client,
HDR will be referred to as the Consultant, and the Technical Assistance to Corpus Christi MPO
for Bicycle Mobility Planning will be referred to as the Project. This scope of work has been
divided into five(5)tasks, as described in detail below:

SCOPE OF SERVICES
Task 1: Delineation of Priority Bicycle Network
The Consultant will advise MPO staff in identifying and acquiring critical data for prioritizing
linkages between key destinations in the urbanized portions of Nueces and San Patricio
counties. The bicycle demand analysis used to prioritize the linkages that will make up the
bicycle network will consider a range of criteria, including but not limited to land use, access to
key community infrastructure (e.g., schools, transit, civic and recreational institutions), and the
location/intensity of population and employment. Consultant will work with MPO staff to
develop geo-spatial analysis to be used in identifying priority linkages; implementation of
analytical steps will be shared by the MPO and Consultant as appropriate on the basis of
technical capacity.
Assumptions:
• The Consultant will coordinate with MPO staff regarding the preferred methodology for
evaluating regional bicycle demand, including specific data, factors, and trip lengths.
• MPO staff will be responsible for assembling and geocoding (as needed), with input
and guidance from the Consultant, all relevant GIS data to be used in the bicycle
demand analysis.
• The Consultant will be responsible for setting up the geospatial analysis framework for
use in the bicycle demand analysis and providing introductory training to MPO staff on
the methods and analysis procedures. This will include translating relative demand
scores to roadway segments and production of"heat maps" and/or maps showing high
demand corridors/roadways.
Deliverables:
• Memo summarizing the bicycle demand analysis methodology, scoring criteria, and
geospatial analysis, including maps of results.
Task 2: Bicycle Facility Selection
The Consultant will lead the selection and designation of specific bicycle facilities—to be
identified prescriptively in the final Bicycle Mobility Plan—for each of the segments in the
priority bicycle mobility network. Facility selection will be based on traffic-related factors such
as traffic volume, speed, and composition; roadway geometric factors such as typical section,
number of lanes, widths, and available right-of-way; and land use and access criteria such as
number of cross streets and driveways. Consultant will identify a national standard with which
facility types will be consistent. Where multiple facility types are suitable for a particular
segment, Consultant will explicitly identify the limits of these options.

Assumptions:
• The Consultant will review the bicycle facility selection tool flow chart and decision
points with the MPO staff up front to obtain approval on its use, or clarify necessary
adjustments to the proposed methodology—any changes to the existing flow chart will
require programming adjustments to the tool. This scope assumes only minimal
changes to the flow chart or decision thresholds — significant or wholesale changes to
the model are not anticipated and would require additional budget.
• The Consultant will coordinate with MPO staff regarding data needs for the bicycle
facility selection tool. It is assumed that the data collection effort will be led by the
MPO following training by the Consultant, although the Consultant will supply one (1)
staff person to participate and oversee the data collection efforts for up to four (4) full
days of field data collection. It is noted that much of the geometric data can be
gathered by reviewing existing corridor aerials from sources such as Google Earth and
field verification should be limited to quality checking and spot data verification. The
Consultant will also coordinate on simplifying assumptions for data used by the facility
selection tool, as needed.
• Data will only be collected for those roadway segments identified in Task 1 as being
high demand locations and part of the priority bicycle network.
• Data collection will be focused on variables needed to make a selection of the
appropriate bicycle facility on a particular roadway segment, but will also include (to the
extent possible), the collection of pedestrian-related variables so as to minimize the
need to go back later and collect data for a second time on the same roadway
segment. This will help facilitate the creation of an area-wide database for bicycle and
pedestrian conditions and facilities, as well as initiate pedestrian-related data collection
for Phase II of the Strategic Plan for Active Transportation.
• The Consultant will coordinate with the MPO staff on the appropriate bicycle level of
service standard for various facility types.
Deliverables:
• Memo summarizing the "as-is" bicycle facility selection tool, as proposed for use in
Corpus Christi, including explanation of methodology, variables, and facility types
considered.
• Memo summarizing data sources and gaps for completing the database necessary to
use the bicycle facility selection tool. Gaps could include missing data in the existing
inventory, or new categories of data. The memo will also include a recommended
data-collection plan structured based on available project resources. In some
instances, this plan may identify data that would be helpful for decision-making but
cannot be collected using the project's resources. In such cases, the Consultant will
identify how the facility evaluation process will compensate for this lack of data,
whether through surrogate measures, engineering judgment, etc.

• Documentation of the proposed facility type for each roadway segment identified in
Task 1 as part of the priority bicycle network, including any potential near-term options
that meet bicycle level of service standards. This includes highlighted flow charts for
each segment from the bicycle facility selection tool.
Task 3: Identification of Facility Design and Maintenance Standard
The Consultant will identify a national standard (e.g. NACTO Urban Bikeway Design Guide or
equivalent) to be referenced in the Bicycle Mobility Plan as the basis for the design and
maintenance of each facility type that is specified in the plan.
Assumptions:
• The intent of the task is simply to reference facility design and maintenance standards,
not to create a stand-alone bicycle facility design guide. As such, the task will include
a cursory review of popular contemporary facility guidance documents, and highlight
the reasons for selection of a particular source as the proposed standard in Corpus
Christi.
Deliverables:
• Memo summarizing the review of potential design and maintenance guidelines and
documenting the proposed standards source for each facility type.
Task 4: Development of Supporting Program Recommendations
The Consultant will provide content and references to best practices for use by MPO in
generating recommendations for plan users (i.e. municipalities, transit agency, and
development interests in the project area) related to:
1. Planning of supporting infrastructure and end-of-trip facilities (e.g. bicycle racks, public
repair stations, bike share infrastructure, wayfinding signage)
2. Development of education, encouragement, and enforcement programs for promoting
safe bicycling culture and awareness
3. Policy and code reform priorities (i.e. roadway maintenance, safe passage, complete
streets)
4. Development of performance measures to track progress against regional bicycle
mobility and safety goals and objectives
Assumptions:
• This task does not include the development of specific policy language, but merely the
recommendation of key elements to consider.

Deliverables:
• Documentation summarizing key best practices and considerations to support the
bicycle and active transportation programs in Corpus Christi and help make the
community more bicycle-friendly.
Task 5: Project Management
The activities in this task are those required to complete the project according to the proposed
schedule and budget, while also ensuring quality deliverables. These activities include the
development of a project management plan (PMP), quality management plan (QMP), and
monthly invoices and progress reports. This task also includes direct expenses.
ADDITIONAL CONSIDERATIONS AND ASSUMPTIONS:
1. It is expected that MPO staff will be heavily involved, in support of and per the direction
of the selected Consultant, in data collection and analysis outlined in Tasks 1-2 above.
2. Existing and planned off-road bicycle facilities, per the City of Corpus Christi's HikeBike
CC and Parks and Recreation Master Plan, will be considered during the network
development described in Task 2 above with the recognition that off-road facilities may
provide key linkages to augment the on-street network.
3. The MPO will lead production of final plan deliverables, including assembling final
narrative and associated graphics as well as printing. Consultant will generate interim
products, including narrative, maps, and graphics to be assimilated into the final plan
documents.
4. All project deliverables will be electronic versions only— no printed copies are included.
Memos will be delivered in Word and pdf formats for flexibility of use.
5. No travel expenses (other than local travel for data collection purposes) are assumed.
It is also assumed that the Consultant will not be needed to support the public
involvement efforts being conducted by the MPO.
SCHEDULE
The Corpus Christi MPO intends to be complete with Phase I of their Strategic Plan for Active
Transportation by the end of 2015. However, it is anticipated that the bulk of the work effort
associated with this scope of services will need to be completed before the end of October
2015. No specific schedule is proposed at this point, but the Consultant will work with staff
from the MPO to establish appropriate milestones and deliverable due dates in order to meet
the MPO's overall Phase I project schedule.

FEE
The services described above in Tasks 1-5 will be accomplished for a lump sum fee of
$49,774.00 as follows:

Any tasks not specifically included within this scope of services will be considered additional
work and will only be completed at the direction of the Client on an hourly basis, plus
reimbursable expenses, according to the attached hourly rate schedule. It is anticipated that an
amendment to this contract addendum will be required to process any additional tasks or
services requested.

Mandatory Requirements
INDEMNIFICATION
Consultant shall fully indemnify, hold harmless, and defend the City of
Corpus Christi and its officials, officers, agents, employees,
volunteers, directors and representatives ("Indemnitee") from and
against any and all claims, damages, liabilities or costs, including
reasonable attorney fees and defense costs, caused by or resulting
from an act of negligence, intentional tort, intellectual property
infringement, or failure to pay a subcontractor or supplier committed
by Consultant or its agent, consultant under contract or another entity
over which Consultant exercises control while in the exercise of rights
or performance of the duties under this agreement. This
Indemnification does not apply to any liability resulting from the
negligent acts or omissions of the City of Corpus Christi or its
employees, to the extent of such negligence.
Consultant must, at City's option, defend Indemnitee and with counsel
satisfactory to the City Attorney.
Consultant must advise City in writing within 24 hours of any claim or
demand against City or Consultant known to Consultant related to or
arising out of Consultant's activities under this Agreement.
