CONTRACT FOR PROFESSIONAL SERVICES
AMENDMENT NO. 10
The City of Corpus Christi, Texas hereinafter called "CITY", and Freese and Nichols, Inc. hereinafter
called "ENGINEER" agree to the following amendment to the Contract for Professional Services for New
Broadway Wastewater Treatment Plant(Project No. 7293), as authorized and amended by:
Original NE Agreement December 12, 2006 Administrative Approval $24,900.00
Amendment No. 1 February 12, 2008 Motion No. M2008-034 $339,300.00
Amendment No. 2 April 24, 2013 Administrative Approval $46,698.00
Amendment No. 3 July 16, 2013 Motion No. M2013-109 $1,120,662.00
Amendment No. 4 January 13, 2014 Administrative Approval $49,851.00
Amendment No. 5 April 21, 2014 Administrative Approval $44,362.00
Amendment No. 6 July 31, 2014 Administrative Approval $48,000.00
Amendment No. 7 August 27, 2014 Administrative Approval $46,500.00
Amendment No. 8 January 19, 2015 Administrative Approval $31,500.00
Amendment No. 9 February 23, 2015 Administrative Approval $40,500.00
Exhibit "A", Section I. Scope of Services, Part B. Additional Services, shall be amended as
specified below.
• Provide on-call Construction Management Support beginning April 2015, for the New Broadway
Wastewater Treatment Plant as requested by Executive Director of Public Works.
Exhibit "A", Section III. Fees, shall be amended as specified in Amendment No. 10 Exhibit "B" for a
revised fee not to exceed $45,000.00 (Forty Five Thousand Dollars and Zero Cents), for a total
restated fee not to exceed $1,837,273.00 (One Million Eight Hundred Thirty Seven Thousand Two
Hundred Seventy Three Dollars and Zero Cents). Monthly invoices shall be submitted in accordance
with Exhibit "C".
All other terms and conditions of the December 12, 2006 contract between the City and Engineer, and of
any amendments to that contract, which are not specifically addressed herein shall remain in full force
and effect.

ON-CALL CONSTRUCTION MANAGEMENT SUPPORT FOR
NEW BROADWAY WASTEWATER TREATMENT PLANT
(Project No. 7293)
I. SCOPE OF SERVICES
A. ADDITIONAL SERVICES
1. Construction Management Support. The Architect/Engineer-NE will:
a) Provide on-call Construction Management Support for the New Broadway
Wastewater Treatment Plant as requested by Executive Director of Public Works.
2. SCHEDULE

3. FEES
A. Fee for Additional Services. The City will pay FNI a fixed fee for providing for all
"Additional Services" authorized as per the table below. The fees for Basic Services will
not exceed those identified and will be full and total compensation for all services outlined
in Section I.A.1-4 above, and for all expenses incurred in performing these services. The
fee for this project is subject to the availability of funds. FNI may be directed to
suspend work pending receipt and appropriation of funds. For services provided in
Section I.A.1-4, FNI will submit monthly statements for basic services rendered. In Section
I.A.1-3, the statement will be based upon FNI's estimate (and City concurrence) of the
proportion of the total services actually completed at the time of billing. For services
provided in Section I.A.4, the statement will be based upon the percent of completion of
the construction contract. City will make prompt monthly payments in response to FNI's
monthly statements.
B. Fee for Additional Services. For services authorized by the Director of Engineering
Services under Section I.B. "Additional Services,"the City will pay the FNI a not-to-exceed
fee as per the table below:

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi,Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
part-time basis,but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the form of sole proprietorship, as self-employed
person, partnership, corporation,joint stock company,joint venture, receivership or trust, and
entities which for purposes of taxation are treated as non-profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City
Manager, Assistant City Managers, Department and Division Heads, and Municipal Court
Judges of the City of Corpus Christi,Texas.
