AGREEMENT
for
Architect/Engineer Services
This AGREEMENT is between the City of Corpus Christi,Texas, a Texas home-rule municipal corporation,
"CITY", acting through its duly authorized City Manager or designee ("City Engineer"), and Urban Engineering a '
Texas corporation,acting through its duly authorized representative who is Eugene C.Urban,Jr.,P.E.(ENGINEER),
which agree as follows:
1. DECLARATIONS."CITY"desires to engage"ENGINEER"to provide services in connection with City's
project, described as follows: Ennis Joslin Extension (Project No. El 5109)"Project".
2. SCOPE OF WORK. "ENGINEER"shall provide services for the PROJECT in accordance with the
accompanying Letter, Scope of Services, and Fee attached as"Exhibit A".
3. FEE. The"CITY"agrees to pay the"ENGINEER"for services provided in accordance with Exhibit"A",
Scope of Services,and Fee under this AGREEMENT,a total fee not to exceed$48,000.00(in figures),(Forty Eight
Thousand Dollars and Zero Cents) (in words). Monthly invoice will be submitted in accordance with Exhibit"C".
4. INDEMNIFICATION AND HOLD HARMLESS.The"ENGINEER"agrees to indemnify,save harmless
and defend the"CITY", and it's agents, servants, and employees as more fully set forth in "Exhibit B".

Dear Jerry:
Urban Engineering has been selected to provide engineering services for the subject project.As
part of this effort we propose to provide a preliminary Engineering Letter Report (ELR) for the subject
project for a fixed fee of$48,000.The scope of this proposed preliminary ELR is further defined as follow.
A. Develop preliminary requirements for utility relocations replacements or upgrades.
Coordinate with the City's Project Manager and identify operating departments potential
project needs.
B. Identify street right-of-way and potential drainage right-of-way acquisition requirements and
illustrate on a schematic strip map.
C. Prepare preliminary opinions of probable construction costs for the recommended
improvements.
D. Develop drainage area boundary map for existing and proposed drainage areas served.
E. Identify electric and communication utility companies and private pipeline companies that
may have existing facilities and must be relocated to accommodate the proposed
improvements.
F. Coordinate with AEP and City Traffic Engineering to identify location of electrical power
conduit for street lighting and traffic signalization.
G. Identify governmental authorities having jurisdiction to approve design of the Project
induding permitting and construction and if requested by the Project Manager, meet and
coordinate with agencies such as RTA and affected school districts(CCISD).
H. Prepare a preliminary Engineering Letter Report that documents the analysis, approach,
opinions of probable construction costs,and document that work with text,tables,schematic-
level exhibits or other applicable support documents required per City Plan Preparation
Standards Contract Format(CPPSCF).Engineering Letter Report to include:

1. Provide a concise presentation of pertinent factors,sketches,designs,cross sections,and
parameters which will or may impact the design, including engineering design basis,
preliminary layout sketches, alignment, right-of-way requirements, conformance to
master plans,identification of needed additional services,existing and proposed utilities,
identification of quality and quantity of materials of construction, and other factors
required for a professional design.
2. Include preliminary Hydraulic analyses.
3. Include existing site photos.
4. Provide opinion of probable construction costs.
I. Conduct Project review meeting with City staff to review and receive City comments on the
preliminary Engineering Letter Report as scheduled by City Project Manager.
J. Assimilate all City review comments of the preliminary Engineering Letter Report and provide
one(1)copy of a final preliminary Engineering Letter Report(ELR)(electronic and hard copies
using City Standards as applicable)suitable for reproduction.In the event additional and more
detailed information is added to the preliminary ELR a contract amendment will be requested
as appropriate to added task.
We anticipate delivery of a preliminary ELR within 40 working days of receipt of executed small
A/E agreement. Please let me know if you have any questions or need additional information.We look
forward to working towards a successful project delivered on schedule and in budget.

EXHIBIT B
INDEMNIFICATION
Consultant shall fully indemnify, hold harmless, and defend the City of Corpus Christi
and its officials, officers, agents, employees, volunteers, directors and representatives
("Indemnitee") from and against any and all claims, damages, liabilities or costs,
including reasonable attorney fees and defense costs, caused by or resulting from an act
of negligence, intentional tort, intellectual property infringement, or failure to pay a
subcontractor or supplier committed by Consultant or its agent, consultant under
contract or another entity over which Consultant exercises control while in the exercise
of rights or performance of the duties under this agreement. This Indemnification does
not apply to any liability resulting from the negligent acts or omissions of the City of
Corpus Christi or its employees,to the extent of such negligence.
Consultant must, at City's option, defend Indemnitee and with counsel satisfactory to the
City Attorney.
Consultant must advise City in writing within 24 hours of any claim or demand against
City or Consultant known to Consultant related to or arising out of Consultant's activities
under this Agreement.

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi,Texas.
b. '`Economic benefit". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi,Texas either on a full or
part-time basis,but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the form of sole proprietorship, as self-employed
person,partnership,corporation,joint stock company,joint venture,receivership or trust,and
entities which for purposes of taxation are treated as non-profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City
Manager, Assistant City Managers, Department and Division Heads, and Municipal Court
