AMENDMENT NO. 3
TO CONTRACT FOR
PROFESSIONAL SERVICES
The City of Corpus Christi, Texas hereinafter called "CITY", and R. H. SHACKELFORD, INC. , hereinafter called
"ENGINEER,"agree to the following amendment to the Contract for Professional Services for Citywide Street Overlay
and Sealcoat Indefinite Delivery/Indefinite Quantity Program — Pilot Program (Project No. E12215), as
authorized and amended by:
Original Contract December 17, 2012 Administrative Approval $45,750.00
Amendment No. 1 July 23, 2013 Motion No. 2013-116 $194,847.00
Amendment No. 2 December 17, 2013 Motion No. 2013-199 $548,513.00
EXHIBIT"A", PART I. SECTION B.Additional Services shall be amended to include Delivery Order No. 5 for Item
No. 2. Develop Post-Award Delivery Orders with Construction Administration as set forth in the attached AMD No. 3
Exhibit"A".
EXHIBIT "A" PART 3. FEES, SUMMARY OF FEES shall be amended for a fee not to exceed $7,250.00 (Seven
Thousand Two Hundred Fifty Dollars and Zero Cents),for a total restated fee not to exceed $796,360.00(Seven
Hundred Ninety Six Thousand Three Hundred Sixty Dollars and Zero Cents). Monthly invoices will be submitted
in accordance with Exhibit"B".
All other terms and conditions of the December 17, 2012 contract between the City and ENGINEER will remain in full
force and effect.

Please accept this proposal for Amendment No. 3 in the amount of$7,250.00 for a total contract value of
$796,360.00.
This revision is necessary to include the overlay addition of Leopard Street (Navigation Blvd. to Up River
Rd.)with Delivery Order(DO)No.5.,as a substitute for two approved major streets that were moved to other
construction programs (Lipan Street and Columbia Street). This work was requested in addition to the
previously approved DO No. 5 and after all field and administrative actions were completed for the DO
preparation.
Amendment No. 3 provides for Scope to include but not limited to Site investigations, geotech coordination,
CADD Design, coordinated City/Contractor/Engineer Walk-Through, Draft and Final Submittals, and As-
built w/photos.

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the City
Council of the City of Corpus Christi,Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to have an
effect on that interest that is distinguishable from its effect on members of the public in general or a
substantial segment thereof.
c. "Employee.' Any person employed by the City of Corpus Christi, Texas either on a full or part-
time basis,but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or commercial,and
whether established to produce or deal with a product or service, including but not limited to,entities
operated in the form of sole proprietorship, as self-employed person, partnership, corporation,joint
stock company,joint venture, receivership or trust, and entities which for purposes of taxation are
treated as non-profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City Manager,
Assistant City Managers, Department and Division Heads.and Municipal Court Judges of the City of
Corpus Christi,Texas.
f. `'Ownership Interest." Legal or equitable interest, whether actually or constructively held, in a

"Constructively held" refers to holdings or control established through voting trusts, proxies, or
