HomeMy WebLinkAboutC2015-272 - 9/21/2015 - NA AMENDMENT NO. 2 TO SMALL NE AGREEMENT FOR ARCHITECT/ENGINEERING SERVICES The City of Corpus Christi, Texas, hereinafter called "CITY", and RVE, INC. hereinafter called "ENGINEER", agree to the following amendments to the contract for Architect/Engineering Services for the following project,as authorized and administratively amended by: Original Small NE Agreement June 13, 2013 Administrative Approval $16,000.00 Amendment No. 1 March 3, 2014 Administrative Approval $9,440.00 1. DECLARATIONS. "CITY" desires to engage "ENGINEER" to provide services in connection with City's project, described as follows: SEA Town Pedestrian Improvements BOND 2012 (Project No. E12134)("PROJECT"). 2. SCOPE OF WORK. "ENGINEER" shall provide services for the "PROJECT" in accordance with the accompanying Letter, Scope of Services, and Fee attached as "Exhibit A". Additional Design Services required. 3. FEE. The "CITY" agrees to pay the "ENGINEER" for services provided in accordance with Exhibit "A", Scope of Services, and Fee under this AGREEMENT, a total fee not to exceed $24,000.00 (Twenty Four Thousand Dollars and Zero Cents) for a total restated fee not to exceed $ 49,440.00 (Forty Nine Thousand Four Hundred Forty Dollars and Zero Cents). Monthly invoices will be submitted in accordance with Exhibit "C". 4. INDEMNIFICATION AND HOLD HARMLESS. The Engineer agrees to indemnify, save harmless and defend the City of Corpus Christi, and its agents, servants and employees as more full set forth in Exhibit "B". 5. OWNERSHIP OF DOCUMENTS. All documents including contract documents (plans and specifications), record drawings, contractor's field data and submittal data will be the sole property of the City and may not be used again by the NE without the express written consent of the Director of Capital Programs. Director of Capital Programs Re: SEA District Pedestrian Improvements (Bond 2012) (Project No.E12134) Contract Amendment No. 2—Project Scope of Improvements Dear Mr. Edmonds: As requested, we are submitting Contract Amendment No. 2 (CA2) to our SEA District Pedestrian Improvements (Bond 2012) Small A/E Contract. The purpose of CA2 is to cover additional engineering efforts required to prepare a Project Scope of Improvements that is constructible within the parameters and limits of the available funding. The funding and design parameters are: 1. The construction budget is $1.17 Million. Additional funds will be made available from other sources for engineering and other soft costs. 2. The funds must be used for pedestrian and bike mobility purposes, such as the items shown on Table 4.2 of the Pedestrian-Transit Access Master Plan prepared by the Goodman Corporation, November 2013; examples repeated below: Sidewalks Landscaping Curb and Gutter Amenities (benches, shelters, etc) Driveways Crosswalks ADA Ramps Demolition Bike Lanes Although an allowable expense, lighting and way finding are specifically excluded from the scope of this project. Landscaping needs to be low/no maintenance with no irrigation needs, such as gravel, rocks, cactus, etc. 4. The overall project limits are as designated in the Pedestrian-Transit Access Master Plan — Chaparral Street [North Broadway to I-37] and Brewster Street [Sam Rankin to American Bank Center]. For this specific project the improvements will be limited to Brewster from Chaparral to Tancahua, and Chaparral from Brewster to Harbor Drive. 5. Develop improvements along Brewster on either side. Maintain two way traffic lanes. 6. Develop improvements along Chaparral on either side. Maintain roadway as is. 7. Street, drainage, and/or utility improvements will not be included. The scope of work will include: 1. Review previously prepared alternative design concepts for the proposed pedestrian and bike mobility and establish one (1) concept within budget for proceeding with preparation of construction documents. 2. Develop one concept each for Brewster and Chaparral Streets with drawings sufficient to convey the concept and cost opinions. 3. Prepare opinion of probable costs for each street. 4. Meet with City Staff to review concepts and costs. 5. Upon approval of concepts and costs, prepare scope and fee proposal for design, bidding and construction phase services. 6. Attend one(I) stakeholder meeting with necessary exhibits. Excluded: 1. Preparation of more than one concept and cost opinion for each street. 2. Additional meetings and/or presentations. 3. Engineering Letter Report. The concept drawings and opinion of probable costs prepared with this amendment and as part of previous submittals will substitute for the Engineering Letter Report. Vice President PDV/dcr Attachments cc: AMD NO.2 File EXHIBIT 'A' Page 2 of 2 Exhibit "B" Mandatory Requirements INDEMNIFICATION Consultant shall fully indemnify, hold harmless, and defend the City of Corpus Christi and its officials, officers, agents, employees, volunteers, directors and representatives ("Indemnitee") from and against any and all claims, damages, liabilities or costs, including reasonable attorney fees and defense costs, caused by or resulting from an act of negligence, intentional tort, intellectual property infringement, or failure to pay a subcontractor or supplier committed by Consultant or its agent, consultant under contract or another entity over which Consultant exercises control while in the exercise of rights or performance of the duties under this agreement. This Indemnification does not apply to any liability resulting from the negligent acts or omissions of the City of Corpus Christi or its employees, to the extent of such negligence. Consultant must, at City's option, defend Indemnitee and with counsel satisfactory to the City Attorney. Consultant must advise City in writing within 24 hours of any claim or demand against City or Consultant known to Consultant related to or arising out of Consultant's activities under this Agreement.
