CONTRACT FOR PROFESSIONAL SERVICES
AMENDMENT NO. 1
The City of Corpus Christi, Texas hereinafter called "CITY", and LNV. Inc. hereinafter called
"ENGINEER" agree to the following amendment to the Contract for Professional Services for On-Goinq
Modeling Support for Maintenance Lines (Project No. E14058), as authorized and amended by:
Original Agreement November 24, 2014 Administrative Approval $24,000.00
Exhibit "A", Section I. Scope of Services, Part B. Additional Services, shall be amended to continue
support services as specified in the attached Amendment No. 1 Exhibit "A".
Exhibit "A", Section III. Fees, shall be amended as specified in Amendment No. 1 Exhibit "A" for a
revised fee not to exceed $25,000.00 (Twenty-Five Thousand Dollars and Zero Cents), for a total
restated fee not to exceed $49,000.00 (Forty-Nine Thousand Dollars and Zero Cents). Monthly
invoices shall be submitted in accordance with Exhibit "B".
All other terms and conditions of the November 24, 2014 contract between the City and Engineer, and
any amendments to that contract, which are not specifically addressed herein shall remain in full force
and effect.

Dear Mr. Edmonds,
Please accept this letter as our formal proposal for amendment to professional services
associated with the Ongoing Modeling Support for Maintenance Lines project for the City of
Corpus Christi water distribution system. LNV hereby agrees to perform the engineering
services as described herein.
Project Background:
A water model for the City's distribution system was constructed in 2005 and updated in 2006
and most recently in 2011. The 2011 model update was a major improvement taking the
previous"skeletonized"model to an "all-pipes" model with migration to a newer version of
software, MWH Soft's InfoWater. The water model of the City's water distribution system was
developed for two reasons:
1. Provide an accurate representation of the existing and proposed system to determine
infrastructure needs and locations.
2. Provide the City with a dynamic decision making tool that can be modified and updated.
Project Description:
The City of Corpus Christi, Texas, hereinafter called "City", and LNV, Inc. hereinafter called
"Engineer", agrees to the following Contract for Engineering Services associated with the On-
going Modeling Support for Maintenance Lines"Project". The purpose of this project is to
provide modeling support of City projects and decisions involving the water distribution system,
as requested by the City.
I. SCOPE OF SERVICES
A. BASIC SERVICES(N/A)
B. ADDITIONAL SERVICES
1. On-Going Modeling Support—Allowance
The City anticipates the need for certain modeling support services from the
Engineer.The Engineer will provide these services as requested in writing by
the City.These services are anticipated to include, but are not limited to,the
following:
a) On-call modeling support for instances when the City needs to review
potential impacts on the operation of the water system.
b) Other modeling as may be required by the City.
City and Engineer agree that scope and level of effort for these services are
difficult to determine in advance. Therefore, an initial budgetary allowance of
$25,000 is hereby established for this work over the next 6 months. Upon
receipt of the City's written request for services,the Engineer will submit a
proposed Task Order including a task specific schedule and fee,for
authorization by the City.

Ill. FEES
A. Fee for Basic Services. The City will pay the NE a fixed fee for providing for all
"Basic Services" authorized as per the table below. The fees for Basic Services
will not exceed those identified and will be full and total compensation for all
services outlined above, and for all expenses incurred in performing these
services. The fee for this project is subject to the availability of funds. The
Engineer may be directed to suspend work pending receipt and
appropriation of funds. For services provided, NE will submit monthly
statements for services rendered. The statement will be based upon NE's
estimate (and with City's concurrence) of the proportion of the total services
actually completed at the time of billing. City will make prompt monthly payments
in response to NE's monthly statements.
B. Fee for Additional Services. For services authorized by the Director of Capital
Programs under Section I.B."Additional Services,"the City will pay the NE a not-
to-exceed fee as per the table below:

LNV shall perform said service and all acts attendant thereto with a reasonable standard of care
and shall not be held to a higher standard of care unless specifically agreed to by the parties
and said agreement is spelled out herein as a condition of this contract.

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi,Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
part-time basis, but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the form of sole proprietorship, as self-employed
person, partnership, corporation,joint stock company,joint venture, receivership or trust, and
entities which for purposes of taxation are treated as non-profit organizations.
e. "Official." The Mayor, members of the City Council, City Manager, Deputy City
