CONTRACT FOR PROFESSIONAL SERVICES
This AGREEMENT is between the City of Corpus Christi, Texas, a Texas home-rule municipal
corporation, "CITY", acting through its duly authorized City Manager or designee("City Engineer"), and LNV,
Inc., a Texas corporation, acting through its duly authorized representative who is Dan S. Leyendecker, P.
E., President(ENGINEER), which agree as follows:
1. DECLARATIONS. "CITY"desires to engage"ENGINEER"to provide services in connection
with City's project, described as follows: Antonio E. Garcia Art & Education Center Structural
Assessment(Project No. E15193) "Project".
2. SCOPE OF WORK. "ENGINEER"shall provide services for the PROJECT in accordance with
the accompanying Letter, Scope of Services, and Fee attached as Exhibit "A".
3. FEE. The "CITY" agrees to pay the "ENGINEER" for services provided in accordance with
Exhibit"A", Scope of Services, and Fee under this AGREEMENT, a total fee not to exceed $6,790.00, Six
Thousand Seven Hundred Ninety Dollars and Zero Cents). Monthly invoices shall be submitted in
accordance with Exhibit"B".
4. INDEMNIFICATION AND HOLD HARMLESS.The"ENGINEER" agrees to indemnify, save
harmless and defend the "CITY", and it's agents, servants, and employees as more fully set forth in Exhibit
"C„
5. OWNERSHIP OF DOCUMENTS. All documents including contract documents (plans and
specifications), record drawings, contractor's field data and submittal data will be the sole property of the City
and may not be used again by the Engineer without the express terms written consent of the Director Capital
Programs. However, the Engineer may use standard details that are not specific to is project.

ANTONIO E. GARCIA ARTS&EDUCATION CENTER
FOUNDATION SETTLEMENT AND EXTERIOR BRICK VENEER ASSESSMENT
Ladies/Gentlemen:
LNV is pleased to submit this proposal to provide the necessary engineering services to perform the
visual condition assessment of the overall structure as well as the reported brick veneer separation and
possible foundation settlement at the Antonio E.Garcia Arts&Education Center located at 2021 Agnes
Street in Corpus Christi,TX. All work to be performed will be in accordance with all City of Corpus Christi
building code requirements. LNV shall perform said service and all acts attendant thereto with a
reasonable standard of care.
The following items listed below shall be provided by the City of Corpus Christi:
All existing drawings and related documents for the Antonio E. Garcia Arts&Education Center
LNV has prepared the following scope of work:
Basle Enaineerina Services:
Structural Enaineerina Services:
1. Study existing drawings to understand the existing design and construction of the structure and
foundation system.
2. Study existing geotechnical report used for original design of structure foundation system,if
available.
3. Meet with necessary City personnel to gain history and better understanding of the timeframe for
the separation being reported and any previous problems or repairs.
4. Perform an on-site visual assessment of the structure to obtain field information for proper
assessment,including shot elevations within and around the structure. Only those portions of
the structure and foundation that are readily accessible will be assessed. No portions of
the façade will be removed for th/s assessment.
5. Prepare a'Draft"letter report indicating the means and methods of our assessment,findings,
professional opinions,and recommendations.
6. Prepare preliminary engineer's estimate of probable repair costs for each option recommended in
the draft report.
7. Prepare necessary drawings/exhibits as required to clarify the report.

8. Submit'Draft"report including structural assessment findings and recommendations with
preliminary cost estimates to City for review and comment.
9. Meet with City personnel as required to discuss draft report and path forward.
10. Pick up final comments from City and submit three(3)reports seated by a Texas Registered
Professional Engineer and electronic file of complete report.

• Windstorm Certification (A separate fee proposal can be provided whenlif the Client decides to
proceed with construction)

Schedule:
LNV proposes to begin execution of the previously-listed Scope of Work within(1)week of receiving a
signed contract from the City of Corpus Christi. We estimate 2-3 weeks to conduct the assessment,write
the report including recommendations and estimates,and submit a DRAFT copy to the City for review
and comment. Final SEALED copies of the report will be delivered to the City within(1)week of receiving
any comments/redlines from the City's review.

Mandatory Requirements
INDEMNIFICATION
Consultant shall fully indemnify, hold harmless, and defend the City of
Corpus Christi and its officials, officers, agents, employees,
volunteers, directors and representatives ("Indemnitee") from and
against any and all claims, damages, liabilities or costs, including
reasonable attorney fees and defense costs, caused by or resulting
from an act of negligence, intentional tort, intellectual property
infringement, or failure to pay a subcontractor or supplier committed
by Consultant or its agent, consultant under contract or another entity
over which Consultant exercises control while in the exercise of rights
or performance of the duties under this agreement. This
Indemnification does not apply to any liability resulting from the
negligent acts or omissions of the City of Corpus Christi or its
employees, to the extent of such negligence.
Consultant must, at City's option, defend Indemnitee and with counsel
satisfactory to the City Attorney.
Consultant must advise City in writing within 24 hours of any claim or
demand against City or Consultant known to Consultant related to or
arising out of Consultant's activities under this Agreement.

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi,Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi,Texas either on a full or
part-time basis, but not as an independent contractor.
d. -Firm.- Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the form of sole proprietorship, as self-employed
