CONTRACT FOR PROFESSIONAL SERVICES
This AGREEMENT is between the City of Corpus Christi, Texas, a Texas home-rule municipal
corporation,"CITY", acting through its duly authorized City Manager or designee("City Engineer"), and LNV,
Inc., a Texas corporation, acting through its duly authorized representative who is Dan S. Leyendecker, P.
E. President(ENGINEER), which agree as follows:
1. DECLARATIONS. "CITY"desires to engage"ENGINEER"to provide services in connection
with City's project, described as follows: City Warehouse Roofing Replacement and Repairs(Project No.
E15182) "Project".
2. SCOPE OF WORK. "ENGINEER"shall provide services for the PROJECT in accordance with
the accompanying Letter, Scope of Services, and Fee attached as Exhibit"A".
3. FEE. The "CITY" agrees to pay the "ENGINEER" for services provided in accordance with
Exhibit "A", Scope of Services, and Fee under this AGREEMENT, a total fee not to exceed $16,185.00,
(Sixteen Thousand One Hundred Eighty Five Dollars and Zero Cents). Monthly invoices shall be
submitted in accordance with Exhibit"B".
4. INDEMNIFICATION AND HOLD HARMLESS. The"ENGINEER"agrees to indemnify, save
harmless and defend the "CITY", and it's agents, servants, and employees as more fully set forth in Exhibit
"C".
5. OWNERSHIP OF DOCUMENTS. All documents including contract documents (plans and
specifications), record drawings, contractor's field data and submittal data will be the sole property of the City
and may not be used again by the Engineer without the express terms written consent of the Director Capital
Programs. However, the Engineer may use standard details that are not specific to this project.

ROOFING REPLACEMENT&RELATED REPAIRS—CITY WAREHOUSE FACILITY(Civitan Dr.)

Ladies/Gentlemen:
•
LNV is pleased to submit this proposal to perform the necessary architectural services for the above
referenced project to provide for replacement of leaking deteriorated metal roofing&insulation system
with gutters and certain other miscellaneous related repair to deteriorated roof structure elements(ie..
purlin locations and overhang extensions)to address the needed repair work. All work to be performed will
be in accordance with all City of Corpus Christi building code requirements. LNV shall perform said service
and all acts attendant thereto with a reasonable standard of care.
The following items listed below will be assumed concerning the design work:
+ No electrical requirements are perceived to be required beyond possibly showing light fixture
locations if necessary for protection of same.
+ No mechanical requirement are perceived to be required beyond possibly showing suspended
heaters/fans etc. and utility line routing at the roof line to same if necessary for protection of
same.
+ Existing fiberglass skylight panels will also be replaced in kind.
+ Wind resistance design to meet criteria for TDI Inland 1(120 mph—3 sec gust).
+ Exist.4-strip ridge ventilators will be salvaged and remain in place unless investigation indicate
deterioration extent requiring replacement.
+ Does not include cost of a lift if close investigation is deemed necessary at the very high roof level
purlins. A specification allowance may be employed for repair of any purlin or other roof
structure element, discovered during construction/demolition, to be deteriorated.
+ Technical Spec Sections& TOC for same and Cover Page for Proj. Manual provided.
The following items listed below shall be provided by the City of Corpus Christi:
• Environmental Report on Existing Roofing.
• Access to facilities.
• Existing set of Plans—Date of orig. construction or last reroof if known.
• Contract Documents front end prepared by owner on JOC project.

LNV has prepared the following scope of work:
Basic Architectural Services:
1. Proposal Preparation.
2. Initial/Preliminary Design work to include Site Inspection, Meetings, Existing Facility Plan retrieval
and review; Environmental Report Review;Coordination/Inspection with Roof Consultant,and Cost
Estimation Preparation.
3. Final Design preparation of Construction Documents to include Preparation of Drawings and
Specifications;coordination with consultant; incorporation of Environmental specifications
requirement;submission of documents for review,and Review Response/Corrections. Review and
response to RFI's.
4. Review JOC Contractor's proposal for accuracy.
5. Construction Phase service to include attendance/comment at Pre-Construction Conference;
submittals Review/Approval;Site Inspection visits(2 or 3);and final follow-up inspection.All
General Contractor's pay requests will be reviewed by the City.
6. Record Drawings service to include providing roof warranty review;as-built drawings and city's
required closeout review/execution.
Note that environmental testing for lead paint on existing metal roofing panels is not included by A/E, but is
to be provided by the city. Windstorm inspection&certification is not included in Basic Services, but will be
required of the roofing contractor. All required TDI documentation will be submitted by a licensed
Windstorm inspector,contracted by the roofing contractor. A fee for LNV providing Windstorm inspection
&certification is indicated below and may be added to Basic Services Fee shown if owner desires such to be
provided by LNV in lieu of being contractor provided.
LNV proposes to perform the above-listed Scope of Work for the following lump sum fees.

Windstorm Inspection&Certification: If such service is desired to be provided by LNV, Inc.,add$3,750.00
to Basic Service amount.
Any additional work not listed in the above scope of work will be performed at an hourly rate in accordance
with the attached rate schedule. Note the hours indicated to be involved are based on a number of previous
re-roof projects performed by Ron Foster including several re-roofs for City of Corpus Christi, mostly Fire
Stations.
Initial 'Means'estimated Cost Opinion is$195,000 to$215,000.

Mandatory Requirements
INDEMNIFICATION
Consultant shall fully indemnify, hold harmless, and defend the City of
Corpus Christi and its officials, officers, agents, employees,
volunteers, directors and representatives ("Indemnitee") from and
against any and all claims, damages, liabilities or costs, including
reasonable attorney fees and defense costs, caused by or resulting
from an act of negligence, intentional tort, intellectual property
infringement, or failure to pay a subcontractor or supplier committed

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi,Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
