AGREEMENT
for
Architect/Engineer Consultant Services
This AGREEMENT is between the City of Corpus Christi, Texas, a Texas home-rule municipal corporation,
"CITY", acting through its duly authorized City Manager or designee("CITY ENGINEER"), and Turner, Ramirez&
Associates, Inc., a Texas corporation, acting through its duly authorized representative who is Philip John
Ramirez, AIA, President"ARCHITECT", which agree as follows:
1. DECLARATIONS. "CITY" desires to engage "ARCHITECT"to provide services in connection with
City's project, described as follows: Facilities Maintenance Building 3A Roof Re-Conditioning (Project No.
El 5181) "PROJECT".
2. SCOPE OF WORK. "ARCHITECT"shall provide services for the"PROJECT"in accordance with the
accompanying Letter, Scope of Services, and Fee attached as Exhibit "A".
3. FEE. The"CITY"agrees to pay the"ARCHITECT"for services provided in accordance with Exhibit
"A", Scope of Services, and Fee under this AGREEMENT, a total fee not to exceed $4,800.00 (in figures), (Four
Thousand Eight Hundred Dollars and Zero Cents) (in words). Monthly invoices will be submitted in accordance
with Exhibit"B".
4. INDEMNIFICATION AND HOLD HARMLESS. The "ARCHITECT" agrees to indemnify, save
harmless and defend the "CITY", and it's agents, servants, and employees as more fully set forth in Exhibit"C".
5. OWNERSHIP OF DOCUMENTS. All documents including contract documents (plans and
specifications), record drawings, contractor's field data and submittal data will be the sole property of the City and
may not be used again by the Architect without the express terms written consent of the Director of Capital
Programs. However, the Architect may use standard details that are not specific to this project.

FOR PLAN AND SPECIFICATION PREPARATION
SUBJECT: City of Corpus Christi Maintenance Building 3A Roof Re-conditioning
Dear Mrs. Mesa:
Please accept this letter as our proposal to perform the professional services desired in
developing the City of Corpus Christi Maintenance Building 3A Roof Re-conditioning project.'The
roof of the maintenance building will not require replacement; however due to the further potential
for water infiltration and damage it is recommended that the roof be re-conditioned along with
replacement of the existing gutter system which was improperly installed. It is understood that
the proposed project budget for the roof re-conditioning and gutter replacement of the
maintenance building is approximately$40,000.00.
Project Description and Task List:
This project proposes the re-conditioning of the existing metal panel roof system including
demolition of the existing eave gutter condition and installation of a properly detailed gutter
condition for Maintenance Building 3A. The scope under this proposal will entail the application
of a liquid rubber membrane over the existing roof, the installation of foam closure strips at the
eave conditions and the complete replacement of the eave gutter systent'at the maintenance
building headquarters building.
Scope of Services:
1. Preliminary Phase
• Confirm, evaluate, and field-verify existing site conditions. [City will provide record
information and data as available from City Engineering files.]
• Meet as needed with City staff and other Agencies to define the project concept and
identify any permitting or land acquisition requirements.
• Review and study the project scope and proposed budget as they relate to
construction feasibility.
• Review previously developed sketches, designs and/or engineering reports provided
by City.
• Assimilate all review comments,modifications,additions/deletions and proceed to next
phase, upon Notice to Proceed.
• Provide a preliminary opinion of construction cost.

2. Design Phase
• Complete and submit a 100%complete set of construction drawings, plans,details,
contract documents and technical specifications in accordance with the City of Corpus
Christi's preferred standard format.
• Provide the final opinion of probable construction cost.
• Furnish one(1)full size hardcopy set of plans,one(1) 11"X17"hardcopy set of plans,
as well as one (1) CD containing full size PDF and 11"X17" PDF Files to the City of
Corpus Christi for review and comment. The City shall assume cost for reproduction
of additional sets.
• Prepare and submit documents to regulatory agencies having jurisdiction TDI (WPI-8
Documents), etc.for review. Prepare required permits and agreements. Any permit
fees shall be paid by the City of Corpus Christi directly.
3. Pre-Construction
• Attend JOC Contractor pre-construction conference chaired by City and assist City in
defining,clarifying,and responding to JOC Contractor questions with respect to project
design,specifications, materials,and methods.
• Prepare addenda, in preferred City format, necessary to inform JOC Contractor of
modifications and clarifications prior to construction. The City's Engineering Services
will distribute any addendum.
4. Construction Phase
• Provide record drawings in AutoCAD Version 2014 and PDF from contractor-prepared
redlined marked-up set of construction documents.
• Coordinate with the City inspector to authorize minor field alterations that do not affect
the contractor's price and are not contrary to the interest of the City.
• Perform four (4) Site Inspections to confer with City's Construction Inspector and
Contractor to observe the progress and quality of work, and to determine, in general,
whether the work is accordance with project design.
• Conduct a "final inspection" with City and Contractor, and make a recommendation
concerning final acceptance.
[OPTIONAL SERVICES]
• Review and approve all contractor's shop drawings and/or submittals.
• Prepare necessary change orders during the process of the work. City will process all
change orders.
• Permit Preparation.
• Prepare Site Inspection Reports.

Schedule:
1. Preliminary Phase Submittal Due 1 weeks from Notice To Proceed(NTP)

Fees:
A. Fees for A/E services Include:
• The necessary conferences and site visits for the preparation and execution of all
phases outlined herein.
• The production of construction documents in accordance with the City format.
B. City of Corpus Christi Shall Supply or Reimburse the Following:
• All available base and/or site maps from City Engineering files
• Existing city utility layouts(water, wastewater, gas and drainage)
• Approval of preliminary conceptual designs and sketches
• All printing and reproduction cost[through City approved vendor]
C. Summary of NE Fees

Mandatory Requirements
INDEMNIFICATION
Consultant shall fully indemnify, hold harmless, and defend the City of
Corpus Christi and its officials, officers, agents, employees,
volunteers, directors and representatives ("Indemnitee") from and
against any and all claims, damages, liabilities or costs, including
reasonable attorney fees and defense costs, caused by or resulting
from an act of negligence, intentional tort, intellectual property
infringement, or failure to pay a subcontractor or supplier committed
by Consultant or its agent, consultant under contract or another entity
over which Consultant exercises control while in the exercise of rights
or performance of the duties under this agreement. This
Indemnification does not apply to any liability resulting from the
negligent acts or omissions of the City of Corpus Christi or its
employees, to the extent of such negligence.
Consultant must, at City's option, defend Indemnitee and with counsel
satisfactory to the City Attorney.
Consultant must advise City in writing within 24 hours of any claim or
demand against City or Consultant known to Consultant related to or
arising out of Consultant's activities under this Agreement.

FILING REQUIREMENTS
If a person who requests official action on a matter knows that the requested action will confer an
economic benefit on any City official or employee that is distinguishable from the effect that the
action will have on members of the public in general or a substantial segment thereof, you shall

DEFINITIONS
a. "Board member." A member of any board, commission, or committee appointed by the
City Council of the City of Corpus Christi,Texas.
b. "Economic benefit". An action that is likely to affect an economic interest if it is likely to
have an effect on that interest that is distinguishable from its effect on members of the public
in general or a substantial segment thereof.
c. "Employee." Any person employed by the City of Corpus Christi, Texas either on a full or
part-time basis,but not as an independent contractor.
d. "Firm." Any entity operated for economic gain, whether professional, industrial or
commercial, and whether established to produce or deal with a product or service, including
but not limited to, entities operated in the form of sole proprietorship, as self-employed
