CONTRACT FOR PROFESSIONAL SERVICES
AMENDMENT NO. 1
The City of Corpus Christi,Texas,a Texas home-rule municipal corporation("City")and Freese and Nichols,Inc.,
("Consultant"), agree to the following amendments to the Contract for Professional Services for Wesley Seale Dam
Instrumentation Testing and Rehabilitation(Project No. 8663):
Original Contract November 1, 2016 Motion No. M2016-146 I $447,020
In the Original Contract, Exhibit A, Scope of Services, shall be amended as set forth in the attached Amendment
No.1, Exhibit A.
In the Original Contract, Exhibit A,Fees,shall be amended based on the modified scope of services in the attached
Amendment No. 1, Exhibit A for a fee not to exceed $47,587,for a total restated fee not to exceed $494,607.
All other terms and conditions of the November 1, 2016 Contract for Professional Services between the City and
Consultant,and of any amendments to that contract,which are not specifically addressed herein shall remain in full
force and effect.

Amendment#1
Dear Mr. Edmonds,
At the request of your staff, Freese and Nichols, Inc. (FNI) is pleased to submit Amendment#1 to
provide professional services to the City as part of the effort to revive the dam safety monitoring
instrumentation at Wesley E. Seale Dam. The dam safety monitoring instrumentation has not been
uploading data properly for some time, and Water Resources staff recognize the need to restore
functionality of this system. The scope of the preliminary engineering services is as follows:
1. FNI will spend 1 week in the field to:
• Determine viability or alternative for at least 20 of 110 existing piezometers
i. Examine and test a portion of piezometers in each zone
ii. Take readings before and after to determine functionality
iii. Formulate design assumptions and recommendations in field notes
• Determine viability or alternatives for at least 10 of 17 extensometers on the
north and south spillways
i. Open and inspect a portion of the extensometers in each spillway
ii. Take readings to determine functionality
iii. Formulate design assumptions and recommendations in field notes
• Determine functionality of(4) inclinometers,one in each spillway
i. If possible,utilize existing inclinometer for readings
ii. Compare readings to previous readings
iii. If not able to take readings,determine if existing inclinometer casings can
be utilized with a new inclinometer
iv. Formulate design assumptions and recommendations in field notes
• Determine functionality of at least 5 of 25 relief wells
i. Open and inspect a portion of relief wells in each zone
ii. Run lag tests to determine recharge functionality of each well opened
iii. Formulate design assumptions and recommendations in field notes
• Determine functionality of remaining existing data collection system components
i. Discuss issues and concerns with staff
ii. Document desired operating conditions and outcomes
iii. Formulate design assumptions and recommendations in field notes.

i. Document existing precision survey system condition (requiring annual
precision survey with specialized equipment)
ii. propose upgrades to continue precision monitoring of survey points by
automated GPS monitoring stations.
• Determine functionality of existing data collection and reporting system
i. Document existing data collection and reporting system condition
ii. Propose upgrades to resume data collection and reporting
2. FNI will assemble a Preliminary Engineering Report on findings and assumptions about
the existing instrumentation system,as well as proposed improvements at
approximately 10%-20%design level, including an opinion of probable construction
costs.
• Compose a draft Preliminary Engineering Report
i. Existing conditions and assumptions documented
ii. Proposed options(2)will be presented
iii. A preliminary OPCC will be developed for each option
• Incorporate City Comments into a final signed/sealed Preliminary Engineering
Report
3. FNI will attend up to(2) meetings with Engineering and/or Water Resources Staff to
facilitate project coordination
The City staff will:
a) Assign a project manager to oversee the project
b) Provide all relevant data required to support inspection,evaluation,or reporting
c) Provide personnel to assist with data collection activities in the field
d) Review and comment on the draft report

COMPENSATION
Compensation to FNI for Basic Services in Attachment SC shall be computed on the basis of the Schedule of Charges,but shall not
exceed Forty-seven Thousand, Five Hundred Eighty-seven Dollars ($47,587.00). If FNI sees the Scope of Services changing so
that Additional Services are needed,including but not limited to those services described as Additional Services in Attachment SC,FNI
will notify OWNER for OWNER's approval before proceeding. Additional Services shall be computed based on the Schedule of
Charges.

OTHER DIRECT EXPENSES:
Other direct expenses are reimbursed at actual cost times a multiplier of 1.15.They include outside printing and reproduction expense,
communication expense,travel, transportation and subsistence away from the FNI office and other miscellaneous expenses directly
related to the work, including costs of laboratory analysis, test, and other work required to be done by independent persons other
than staff members. For Resident Representative services performed by non-FNI employees and CAD services performed In-house
by non-FNI employees where FNI provides workspace and equipment to perform such services, these services will be billed at cost
times a multiplier of 2.0.This markup approximates the cost to FNI if an FNI employee was performing the same or similar services.
These rates will be adjusted annually in February.
