HomeMy WebLinkAboutC2018-267 - 6/26/2018 - NA Tenant Site ID: Carmel Village WT/26426 CONSENT AGREEMENT Whereas, On February 24, 1998, the City Council of Corpus Christi, Texas authorized the City Manager or his designee ("Owner's Agent") to execute a Ground and Tower Lease Agreement ("Lease Agreement") between the City of Corpus Christi ("Owner") and San Antonio MTA, L.P., d/b/a Verizon Wireless ("Tenant") regarding the Alameda Elevated Water Storage Tower located at 509 Cannel Parkway, Corpus Christi, Texas. Whereas, pursuant to the Lease Agreement, Tenant or its contractor, Epic Communications, Inc., will be performing some maintenance upgrades on Tenant's communications site located at the Leased Site as described in the Lease Agreement. Now therefore,the parties agree as follows: By signatures below, Owner hereby consents to Tenant's equipment modifications at the Leased Site (which is described in the Lease Agreement), said work is described in the attached Statement of Work, subject to Tenant's and Contractor's compliance with the Terms and Conditions of the Lease Agreement (the "Terms and Conditions"). Tenant shall require Contractor to acknowledge receipt of the Terms and Conditions, and Tenant shall require compliance with the Terms and Conditions during Contractor's performance of ay work at the Leased Site. This consent agreement takes effect on the date of the last signature. (107278) M t%%%%%%%%% TERMS AND CONDITIONS Terms and Conditions regarding use of City property at 509 Carmel Parkway, Corpus Christi, Texas which is identified as the "Leased Site" in the Ground and Tower Lease Agreement between the City of Corpus Christi ("City") and San Antonio MTA, L.P., d/b/a Verizon Wireless ("Tenant") regarding the Alameda Elevated Water Storage Tower located at 509 Carmel Parkway("Lease Agreement"). Epic Communications,Inc.("Contractor")agrees to comply with the following terms and conditions: A. Contractor's use of the Leased Site may not interfere with the operations of the City's Water Department. B. Contractor must consult with City Traffic Engineering Office for traffic control plan. Contractor may not close or barricade a public street, or any portion of the public street until the City Traffic Engineering Office has approved Contractor's traffic control plan and paid applicable street closure, Traffic Control, and Traffic Engineering permit fees. C. Before digging or doing any excavation on the Leased Site, Contractor must verify depth and location of existing Water, Wastewater, Gas, AEP (C.P.& L.), Southwestern Bell Telephone., Time Warner, and Grande Communications lines, as well as all other telecommunication providers in the area. Prior to the start of any ---- ---- excavation,the Permittee or Permittee's Agent must call the Texas One Call System, at (800) 245-4545, 1-800-DIG-TESS, and Lone Star Notification Center, at (800) 669-8344, for locations of existing utilities. A City Inspector may request a utility line be uncovered to verify its depth or location. D. Prior to trenching, Contractor shall hydro-excavate the proposed trench location to identify any obstacles that may inadvertently shutdown a facility. E. Contractor may not begin work without 48 hours prior notice to the AEP (C.P,&L), S.W.B.T., Grande Communications, Time Warner, Water, Gas, Storm Water, and Wastewater Divisions along with the telecommunication providers in the area. F. Contractor must properly tamp backfill around existing utilities in accordance with the City of Corpus Christi Standard Specifications, including City Water Distribution System Standards. G, If damage occurs to any gas, storm water or wastewater line, as determined by the City's representative, a City Gas, Water, or Wastewater Division crew will be brought in and allowed immediately to make all repairs. All City's costs (labor and materials) associated with the repairs must be paid by the Contractor within 30 days of City Manager's invoice thereof. City's representatives will determine the extent of damage and amount of repairs to the utility line(s). H. Prior to utilizing the Leased Site, Contractor must obtain all required Federal, State and Local permits. I. Contractor must take every precaution not to disturb the soil surrounding any existing water or wastewater line, including all thrust blocks. J. Damage to any City property, or driveways, culverts, head walls and any other structure, public or private, must be repaired by Contractor at its expense within 30 days after being notified of damage to same. K. Contractor may not store or leave any equipment or material in City property overnight. L. Contractor must notify David Kukoda City Utilities Systems Manager—Maintenance at(361) 290-4710 (cell) or(361) 826-1880(office), or his designee, at least 24 hours prior to starting work. M. Contractor must provide proper safety and security devices to prevent possible injuries or accidents, No open trenches or pits may be left overnight. All trenches must be backfilled promptly, the backfill properly compacted, surface restored, and the work done in a neat and workmanlike manner. N. Barrel type barricades,approved by City's Traffic Engineering Office, will be placed adjacent to all open pits at Contractor's expense. O. Because the Leased Site is in full view of the public, Contractor must maintain the Leased Site in neat and orderly fashion without visible trash, paper and other unsightly debris. P. City consent may be revoked at any time when deemed in the best interest of the City as determined by the City Manager or designee. Q. Contractor shall comply with all applicable Federal, State and Local laws,ordinances and regulations. R. Contractor has received a copy of the Lease Agreement. Contractor agrees to comply with all provisions of the Lease Agreement including but not limited to indemnification provisions. S. Contractor must provide a copy of the insurance certificate prior to initiating any work on City property.The Contractor's insurance certificate must name the City as an additional insured.The Contractor's insurance must comply with the attached Exhibit B. T. As a contractor for Tenant, and by my authorized signature below, Contractor agrees to comply with all terms and conditions of the Lease Agreement including insurance and indemnification provisions set forth in the Lease Agreement. A copy of our Certificate of Insurance naming the City of Corpus Christi as an additional insured is attached to this letter. Contractor represents that Contractor has obtained all permits required for this work. Contractor agrees to perform the work at the site in compliance with all applicable Federal, State, and Local laws, ordinances and regulations. Contractor must return the City property to the condition as it existed prior to the work at the site. U. Contractor acknowledges that the City's consent may be revoked at any time when deemed in the best interest of the City as determined by the City Manager or his designee. V. Contractor acknowledges that the City reserves the right to go upon the City property to inspect the work the right to alter the work schedule when deemed in the best interest of the City. W. Contractor must not commence work under this contract until all insurance required has been obtained and such insurance has been approved by the City. Contractor must not allow any subcontractor, to commence work until all similar insurance required of any subcontractor has been obtained. B. Contractor must furnish to the City's Risk Manager and Contract Administrator one (1) copy of Certificates of Insurance with applicable policy endorsements showing the following minimum coverage by an insurance company(s) acceptable to the City's Risk Manager. The City must be listed as an additional insured on the General liability and Auto Liability policies by endorsement, and a waiver of subrogation endorsement is required on GL, AL and WC if applicable. Endorsements must be provided with Certificate of Insurance. Project name and/or number must be listed in Description Box of Certificate of Insurance. In the event of accidents of any kind related to this contract, Contractor must furnish the Risk Manager with copies of all reports of any accidents within 10 days of the accident. II. ADDITIONAL REQUIREMENTS A. Applicable for paid employees, Contractor must obtain workers' compensation coverage through a licensed insurance company. The coverage must be written on a policy and endorsements approved by the Texas Department of Insurance. The workers' compensation coverage provided must be in statutory amounts according to the Texas Department of Insurance, Division of Workers' Compensation. An All States Endorsement shall be required if Contractor is not domiciled in the State of Texas. B. Contractor shall obtain and maintain in full force and effect for the duration of this Contract, and any extension hereof, at Contractor's sole expense, insurance coverage written on an occurrence basis by companies authorized and admitted to do business in the State of Texas and with an A.M. Best's rating of no less than A-VII. C. Contractor shall be required to submit renewal certificates of insurance throughout the term of this contract and any extensions within 10 days of the policy expiration dates. Contractor agrees that,with respect to the above required insurance, all insurance policies are to contain or be endorsed to contain the following required provisions: • List the City and its officers, officials, employees, and volunteers, as additional insureds by endorsement with regard to operations, completed operations, and activities of or on behalf of the named insured performed under contract with the City, with the exception of the workers'compensation policy; • Provide for an endorsement that the "other insurance" clause shall not apply to the City of Corpus Christi where the City is an additional insured shown on the policy; • Workers' compensation and employers' liability policies will provide a waiver of subrogation in favor of the City;and • Provide thirty (30) calendar days advance written notice directly to City of any, cancellation, non-renewal, material change or termination in coverage and not less than ten(10)calendar days advance written notice for nonpayment of premium. E. Within five (5) calendar days of a cancellation, non-renewal, material change or termination of coverage, Contractor shall provide a replacement Certificate of Insurance and applicable endorsements to City. City shall have the option to suspend Contractor's performance should there be a lapse in coverage at any time during this contract. Failure to provide and to maintain the required insurance shall constitute a material breach of this contract. F. In addition to any other remedies the City may have upon Contractor's failure to provide and maintain any insurance or policy endorsements to the extent and within the time herein required, the City shall have the right to order Contractor to stop work hereunder, and/or withhold any payment(s) which become due to Contractor hereunder until Contractor demonstrates compliance with the requirements hereof. G. Nothing herein contained shall be construed as limiting in any way the extent to which Contractor may be held responsible for payments of damages to persons or property resulting from Contractor's or its subcontractor's performance of the work covered under this contract. H. It is agreed that Contractor's insurance shall be deemed primary and non-contributory with respect to any insurance or self insurance carried by the City of Corpus Christi for liability arising out of operations under this contract.
