Box 9277 Corpus Christi, Texas 78469-9277 RE: AMENDMENT NO.5 TO PROFESSIONAL SERVICES CONTRACT City Project E12206 Oso Water Reclamation Plant Nutrient Removal and Re-route to 24 MGD Phase 2(Final) Dear Mr. Edmonds: Please find Amendment 5, a zero-dollar amendment to the original contract to modify the Basic and Additional Services scope of work. The request includes a budget allocation for 1) Design services of Digester 4 air piping replacement and decanting improvements, 2) a continuation of Permitting Services and, 3) services to evaluate two treatment process alternatives. BACKGROUND Oriainal Contract-The original contract, Oso Water Reclamation Plan Nutrient Removal and Re-rate to 24 MGD—Phase 2, was approved by City Council on June 11, 2013 by Motion No. M2013-102 for an amount not to exceed $9,998,629.00. The scope of the project included major facility improvements at the Oso WRP (Contract"A") along with the decommissioning and replacement of the Laguna Madre WWTP with an effluent pump station (Contract "B'). On August 19, 2013, LNV received formal Notice to Proceed (NTP)for permitting services, along with preliminary design, in the amount of$200,000, and on February 26, 2014, an amount of$1,293,283 was authorized for a total not to exceed fee of$1,493,283. Amendment No. 1-On May 14, 2015, LNV received authorization for Amendment No.1, a zero-dollar amendment. The purpose of Amendment No. 1 was to reduce the original Basic Services scope of work, to add un-scoped Additional Services (Geotechnical Investigation & Permitting tasks) and to revise the project schedule. The preliminary design, along with the preliminary engineering report (PER)for 30% design, was completed for the modified scope of work ($56.8M construction budget) under Amendment No. 1 in November 2014. Amendment No. 2-On November 6, 2015, LNV received authorization for Amendment No. 2, a zero dollar amendment which documented the City's decision to further reduce the scope of work associated with the original contract. The new objective was to address only the most critical needs AMD. As a result of the reduction in the scope of work, the original PER, along with the drawings associated with the 30% design, were revised to account for the removal/addition and/or revision of various items. The name of the project was also modified to "Oso Water Reclamation Plant Infrastructure Rehabilitation and Improvements°. On May 20, 2016, the 30% design PER for the reduced scope was completed and submitted to the City. Amendment No. 3 - On April 13, 2016, LNV received authorization for Amendment No. 3, a zero- dollar amendment. The purpose of Amendment No. 3 was to enable the permitting team to respond to additional concerns raised by TCEQ by conducting water quality modeling analyses to assess the impacts of dissolved oxygen (DO)concentrations in the Oso Bay and to ultimately provide assistance toward a discharge permit renewal from TCEQ. On May 6, 2016, the City issued a partial NTP to provide engineering design services for the new Lift Station and Headworks at the Oso WRP. The following items were included in the partial NTP: • Replacement of the existing LS1 with a new influent lift station (Sized for 80 MGD, Pumping Capacity of 60 MGD) • Replacement of the existing headworks facility with improved screening, grit removal and flow splitting capabilities (98 MGD) Amendment No. 4 -On February 2, 2017, LNV received authorization for Amendment No. 4, a zero- dollar amendment which allocated funds for continued permitting, design, bid, construction phase services along with some additional services. The purpose of Amendment No. 4 was to enable the permitting team to respond to the comments and requests from the EPA with the ultimate objective of reaching a consensus on the contents of the discharge permit for the Oso WRP. Additionally, Amendment 4 was to provide services for the design of critical design elements inadvertently omitted from the scope of work in the May 6, 2016 partial NTP but were required to be designed for the lift station and headworks to serve their intended use. DESCRIPTION OF AMENDMENT NO. 5 The following describes the services under this amendment. 1. Oso WRP Digester 4 Air Pioe and Walkway Replacement The Oso WRP Digester 4 has been taken out of service due to the fad that the air header pipe, air drops and air diffusers were in very poor condition, resulting in significant air leaks and concerns over structural stability. Due to the poor condition of the air drops and diffusers, the equipment has been removed from the digester and the digester was dewatered and cleaned. LNV staff along with City staff performed a site visit on April 5, 2018 to observe the present condition of Digester 4. Based on the severity of the corrosion of air header pipes and the poor condition of the walkway and supports, LNV is recommending the existing walkway and air header AMD. NO.5 EXHIBIT"A" Page 2 of 7 system for Digester 4 be replaced with new air pipe and catwalk system. In addition, City staff requested that the design includes provisions to provide decanting ability for Digester 4. Under this amendment, LNV will provide the City with the necessary plans and specifications to contract the work as a change order to the existing Oso WRP Headworks and Lift Station Project. 2. Permitting Services Due to the complexity of the Oso WRP discharge permit approval process, the City has requested additional services from the permitting team to address comments and concerns raised by EPA, TPWD and TCEQ. This includes providing technical assistance in resolving the issues associated with the proposed Blind Oso segment with the ultimate objective being to identify a path forward towards a discharge permit renewal from the TCEQ. In response to the City's request, an additional NTE budget of$90,000 has been requested for these additional services in this amendment and they will be provided on a T&M basis. 3. Treatment Process Alternative Evaluation Before proceeding forward with the design of the retrofit/rehabilitation of the aeration basins, the design team must first evaluate the feasibility and constructability of MBR process and also determine a cost comparison between MBR and a traditional BNR processes. This task involves evaluating the various options for retrofitting the existing aeration basins to meet current effluent ammonia requirements through biological processes which would replace and allow the decommissioning of the existing breakpoint chlorination system. The purpose of the evaluation is to assist the City in determining a feasible biological treatment process for the plant and ultimately guide the design of proposed retrofits to the existing aeration basins. A second purpose is to evaluate an alternative treatment process that would eliminate the need for expensive upgrades to the secondary clarifiers. The evaluation would be done under the current 16.2 MGD average daily flow capacity and 98 MGD peak flow conditions. SCOPE OF SERVICES: The Scope of Services for this contract shall be amended to modify the Basic &Additional Services as described below. The Engineer will perform these services only as authorized by City and only to the NTE budget limit. A. BASIC SERVICES The Basic Services are described below: 1. Preliminary Design Phase— N/A 2. Design Phase - Design phase tasks as shown in the original contract will remain the same. The engineer will however only provide services for Digester 4 air piping and AMD. NO.5 EXHIBIT"A" Page 3 of 7 • decanting elements that have been authorized as described in this Amendment. The Engineer will perform the following: a. Conduct a kick-off meeting with the City to coordinate proposed design and construction activities. b. Perform up to three (3) site visits with the design team to assess the existing condition of the digester air header pipe, associated appurtenances, walkway and decanting options available. Identify special concerns and gain an overall understanding of the project site and constraints. c. Obtain and review all available data pertaining to the project including previous drawings, as-builts and reports. This information shall be provided by the City as requested. d. Evaluate different replacement alternatives and recommend the most suited course of action for replacement of Digester 4 air header, air drops, air diffusers and walkway along with most feasible method of decanting Digester 4. e. Prepare necessary design calculations, plans and specifications for the suggested replacement method. Deliverables: The drawings to be prepared under this amendment are not intended to be prepared to typical bid set standards. The intent is to provide the contractor with sufficient information and details to quote and construct the improvements under a change order as required. For this purpose, the Engineer will prepare a set of material specifications and drawings. The drawings are anticipated to consist of the following six (6) pages: o Cover Sheet and Index o Site Plan o Demolition Plan o Proposed Air Header Pipe, Walkway and Decanting Details, Plans and Sections ---- -- - o Structural Details 1 o Structural Details 2 The Engineer will prepare a DRAFT package, which will contain the above drawings and necessary specifications for the City's review and comment. Upon receipt of comments, the Engineer will incorporate comments into the Final package and provide one (1) hard copy and one (1) electronic copy to the City. AMD. NO.5 EXHIBIT "A" Page 4 of 7 • 3. Bidding Phase— N/A 4. Construction Phase—N/A B. ADDITIONAL SERVICES The scope for additional services are as the following: 1. Permitting &Agency Coordination Additional permitting services will include but is not limited to the following: • Preparing for and participating in meetings with City, LNV,TPWD,and EPA Region VI. • Preparing for and participating in meetings with EPA Headquarters, in Washington, DC. • Supporting City's effort of obtaining EPA approval through the City's Intergovernmental Relations Office. • Preparing technical support documents to address questions by TCEQ, EPA, or others. • Assessing alternatives for the eventuality of EPA non-approval Deliverables: Meeting Minutes and Meeting Notes NOTE: As discussed in previous amendments,the fee for permitting tasks is provided as an estimated allowance not to be exceeded without additional authorization. Typically permitting service contracts are negotiated on a time and materials (T&M) basis. The benefit of a T&M contract is that although the specific permitting tasks may be fairly well understood, the level of effort required to complete the tasks can vary significantly. 21.Treatment Process Alternative Evaluation The Engineer will conduct an evaluation of two treatment processes to determine the optimum treatment alternative for Oso WRP that balances short-term capital expenditures (CAPEX) with long-term operations and maintenance expenditures (OPEX). The evaluation will consist of a qualitative analysis, construction sequencing and cost comparison for the following while limiting the improvements within the existing two process trains: o Biological nutrient removal (BNR) process o Membrane bioreactor(MBR) process. AMD. NO.5 EXHIBIT"A" Page 5 of 7 • The alternative evaluation will include the following: i. Influent Flows and Loads — Review and summarize the existing plant flows and waste loadings to establish baseline flows and loadings for the evaluation. ii. Process Modeling—Complete BioWin computer process models using the existing flows and waste loads for the following treatment approaches: (1) determine if the current process could be optimized to remove nitrogen, recover alkalinity, reduce the overall oxygen demand (with its resulting reduction in power costs), and improve treatment effectiveness, (2) BNR process to remove nitrogen, and (3) MBR process iii. Preliminary Layouts — Develop preliminary site and yard piping plans for each alternative. iv. Alternative Evaluation - Evaluate the two alternatives based on advantages and disadvantages, treatment performance, and impact on the chlorination and de- chlorination disinfection process. v. Construction Sequencing Plan — Develop a construction sequencing plan for the new process units under each alternative while maintaining existing plant operations. vi. Estimate of Probable Construction Cost— Develop Class 4 CAPEX estimates, as defined by the International Association for the Advancement of Cost Engineering (IAACE), for each alternative. Annual OPEX costs will be included in the analysis. vii. Technical Memorandum—Submit one (1)electronic copy of a Draft TM to the City for review and comment. The Draft TM will include the above topics and will make a preliminary recommendation. The comments received from the City will be addressed and a Final TM will be submitted. viii. Workshop — Conduct a 4-hour project workshop for representatives of the City. The purpose of the workshop will be to present the finding and recommendations of the evaluation. Deliverables: Draft and Final Alternative Evaluation Report AMD. The fees for Basic services will be lump sum and shall represent full and total compensation for services and for all expenses incurred in performing these services. The Engineer will submit monthly statements for services rendered. The City will make prompt monthly payments in response to the Engineer's monthly statements. B. Fees for Additional Services Authorized. The City will pay the Engineer for the Task 1 - Permitting & Coordination services on a time and material (T&M) basis in accordance with standard hourly rates for a maximum not to exceed amount shown in"ATTACHMENT 1". The City will pay the Engineer for the Task 21 - Treatment Alternative Evaluation the lump sum amount as shown in "ATTACHMENT 1". The fees for all additional services will be full and total compensation for services and for all expenses incurred in performing these services. The Engineer will submit monthly statements for services rendered.The City will make prompt monthly payments in response to the Engineer's monthly statements. C. Summary of fees.
