This Task Order pertains to a Master Services Agreement for Professional Services by and between City of Corpus
Christi, Texas(City)and Freese and Nichols, Inc. (Consultant) dated November 7, 2017 by Ordinance No. 31287
(Agreement). Consultant shall perform services on the project described below as provided in this Task Order and
in the Agreement. This Task Order shall not be binding until it has been properly signed by both parties. Upon
execution, this Task Order shall supplement the Agreement as it pertains to the project described below.

1. PROJECT DESCRIPTION: Supplemental project definition activities including site selection and permitting
for the Seawater Desalination Project
2. SCOPE OF SERVICES—This Task Authorization incorporates components of the original MSA: Tasks 2,
3, 4, 5, 8, 11, 13, 14, and Additional Services (Task A-Communications and Public Outreach) and is more
fully described in Exhibit A.
3. COMPENSATION — The total amount not to exceed for this Task Order only is $2,060,126.
This Task Order is approved and Consultant may proceed. All other terms and conditions of the Agreement
remain in full force and effect.

PROJECT NAME: Seawater Desalination—City Project No. E15117
1. PROJECT DESCRIPTION—
As a reference for the tasks identified in the MSA,this Task Authorization incorporates
components of MSA Tasks 2, 3,4, 5,8, 11, 13, 14, and Additional Services Task A. The scope has
been modified as a result of feedback from coordination meetings with the City of Corpus
Christi, the City's Consultant and Port of Corpus Christi Authority. The following scope is
intended to be used for the contractual agreement executed as Task Authorization No. 1 in
accordance with the Terms and Conditions of the associated MSA.
We understand that the City is focused on acquiring the necessary permits for the procurement
of a seawater desalination project or projects in the Coastal Bend. Task Authorization No. 1
includes the scope of work necessary to file administratively complete applications for what are
expected to be the Owner's Permits:
• Texas Pollutant Discharge Elimination System (TPDES) Permits—TCEQ
• Water Rights & New Source Approvals—TCEQ
• Public Water System (PWS) Registrations(if applicable) and Compliance with PWS
Regulations-TCEQ
• Texas Land Application Permits(TLAP)for sludge disposal—TCEQ
There is a different, more extensive list of permits required for the actual construction of a
desalination plant, but we do not consider that list to include Owner's Permits. Those are
implementation and construction related permits which are expected to be obtained by a
design-build contractor after the procurement phase. This list has been previously provided to
the City.
The only Owner's Permit application identified by our team and not included in Task
Authorization No. 1 is the U.S. Army Corps of Engineers (USACE) 10/404 Permit. The 10/404
permit scope and effort are difficult to estimate prior to the identification of a desalination plant
site. Included in this scope of services are efforts to perform initial coordination with USACE and
identify and confirm a permit application approach.
To specifically address the objective of permitting a seawater desalination plant for the City of
Corpus Christi, Freese and Nichols, Inc. will provide the following services directly related to the
development of Owner's Permit applications or to establish the supporting information and
details required for administratively complete permit applications. The basis of this scope of
work is the assumption that the project will ultimately be procured by Design-Build-Operate
(DBO) methodology.

A. ESTABLISH DEFINITIONS FOR SEAWATER DESALINATION PROJECT
1. Prepare a Letter Report confirming:
i. Plant production capacity
ii. Plant reserve capacity
iii. Plant expansion capacity
iv. Product water quality
v. Source water quality data
vi. Concentrate Management Strategy
vii. Considerations for DBO Projects
B. SITE SELECTION FOR PERMITTING ACTIVITIES
The purpose of this task is to select the site(s)for a potable water Seawater Desalination Project
and document the selection process for regulatory purposes.The Site Selection
Recommendation will consist of three steps:
• Developing a Site Screening and Site Selection Strategy
• Screening and Identification of Candidate Sites
• Evaluation of Candidate Sites to select the Preferred Site(s).
Site Screening and Candidate Site Selection will include desktop environmental surveys to
evaluate the potential direct effects of the proposed project to various ecological resources that
pertain to regulatory compliance. Ecological resources to be evaluated generally include
seagrasses, oysters,tidal wetlands, and federally-listed species,for example. Due to the scope
and potential effects of the proposed project,there exists the possibility that US Army Corps of
Engineers (USACE), in consultation with other state and federal agencies, may require an
Individual Permit(IP) review process. Part of that IP review process requires that an applicant
demonstrate that the preferred site is the "Least Environmentally Damaging Practical
Alternative (LEDPA)"when compared to alternative sites.
1. Prepare and conduct internal team kick-off meeting;
2. Conduct a workshop to review siting approach, identify candidate sites, and review
previously developed siting information available from project information as well as
local, state, and federal agencies.
3. Prepare a Site Screening/Selection Strategy Memorandum.
i. Preparing a draft Site Screening/Selection Strategy Memorandum including:
a. Defining Seawater Desalination Siting Selection Factors which may include,
but are not limited to:
i. Power Availability
ii. Raw Water Quality
iii. Site Ownership and Land Use Potential
iv. Concentrate Management
v. Environmental Fatal Flaw Analysis
vi. Existing Infrastructure Integration
vii. Site Risks including Erosion, Flooding, etc.
b. Potential Sites Screening Matrix;
ii. Briefing relevant state and federal regulatory agencies to discuss site

selection strategy;
iii. Incorporating changes to the draft Site Screening/Selection Strategy
Memorandum necessary to address regulatory agencies'feedback;
iv. Submitting draft Site Screening/Selection Strategy Memorandum to
City for review and comment;
v. Addressing review comments and finalizing the Site
Screening/Selection Strategy Memorandum.
4. Conduct Site Screening and Candidate Site Selection to provide for long-term
sustainability of the permits.
i. Assess the following five (5)Candidate Sites:
a. One site near Avery Point
b. One site on the Port of Corpus Christi Inner Harbor
c. One site near the La Quinta Channel
d. Two sites currently being permitted by the Port of Corpus Christi Authority;
leveraging the information and effort previously developed by the Port's
Consultant as part of their TPDES permit applications.
ii. Screening and ranking Potential Sites: for each potential site, a site description
including applicable intake and concentrate management strategies, risk and
environmental sensitivity issues will be included;
a. Geotechnical, topographic, bathymetric and other necessary sub-
contracted surveys will be provided in a distinct budget phase on a time
and material basis.
iii. Initial Source Water Characterization for Candidate Sites consisting of existing data
and up to three (3) source water samples from potential intake locations for the
parameters regulated by TPDES and drinking water quality regulations;
a. Prepare Source Water Characterization Memorandum
b. Discuss memorandum with TCEQ to evaluate sufficiency of proposed Initial
Source Water Characterization approach;
c. Revise Initial Source Water Characterization approach to incorporate TCEQ
feedback;
d. Collect and compile source water data for Initial Source Water
Characterization.
iv. Conduct initial concentrate modeling of candidate sites;
v. Prepare a draft Candidate Site Selection Recommendation;
vi. Present the draft Candidate Site Selection Recommendation to City;
vii. Incorporate any necessary changes to the Candidate Site Selection Memorandum
to address feedback provided by City;
viii. Finalize the Candidate Site Selection Memorandum;
ix. Document City authorization to conduct evaluation of the selected Candidate Sites.
5. Conduct Candidate Site Evaluation and Recommend Preferred Sites
i. Obtain site access authorizations and conduct Candidate Sites visits;
ii. Conduct necessary desktop surveys for seagrass, oysters,tidal wetlands to identify
possible critical environmental site conditions;
iii. Conduct desktop habitat assessments for federally-listed species to identify
possible critical environmental site conditions;
iv. Up to two site visits will be performed for each candidate site to support and/or
provide verification for desktop surveys and assessments described in the previous
two scope tasks;
v. Prepare draft Candidate Sites Evaluation and Siting Recommendation
Memorandum including:

a. Candidate Site Description and Evaluation;
b. Assessment of intake strategies and intake recommendation for each site;
c. Assessment of concentrate management strategies and discharge
recommendation for each site;
d. CORMIX modeling of preferred concentrate disposal option;
e. Evaluate environmental constraints and provide a Site Permitting
Overview;
vi. Conduct briefing meetings with state and federal regulatory agencies to discuss
results of candidate sites evaluations;
vii. Submit Candidate Sites Evaluation and Siting Recommendation Memorandum to
City Team for review;
viii. Address review comments and revise Candidate Sites Evaluation and Siting
Recommendation, as warranted;
ix. Conduct Workshop with City to Present Candidate Site Evaluation and Preferred
Site Recommendation for approval;
x. Provide draft workshop minutes for comments, address comments and finalize
minutes documenting site selection decision;
xi. Provide technical support for and review of Land Use Agreement and/or Purchase
Options for preferred sites.
C. PREPARATION AND FILING OF OWNER'S PERMIT APPLICATIONS FOR UP TO TWO PREFERRED
SITES
1. Source Water Characterization
i. Prepare and Implement Source Water Quality Characterization Plan; this task
includes the following:
a. Preparing a draft Source Water Quality Characterization and Data Collection
Plan for 12-months of raw water monitoring at the preferred sites;
b. Briefing TCEQ on the draft Source Water Quality Characterization Plan;
c. Incorporating any necessary changes to the Source Water Quality
Characterization Plan to address TCEQ's feedback;
ii. Complete source water sampling and data collection plan and reporting in
accordance with the Source Water Quality Characterization Plan.
iii. Conduct watershed sanitary survey for selected site;this task includes:
a. Preparing a watershed sanitary survey;
b. Briefing TCEQ on the results of the watershed sanitary survey and source
water quality characterization;
c. Incorporating any necessary changes to the watershed sanitary survey to
address TCEQ's feedback;
d. Providing a draft Watershed Sanitary Survey Report for the Preferred Sites to
the City for review.
e. Incorporate review comments and submit a final Watershed Sanitary Survey
Report to the City Team.
f. Provide protocol and coordination for the baseline monitoring of the Port of
Corpus Christi Inner Harbor.
2. File Administratively Complete Owner's Permit Applications for Preferred Sites (2).
i. Prepare and file TPDES permit applications. (Excluding effort after TCEQ has
confirmed receipt of an administratively complete permit application, however FNI
will remain engaged to respond to questions and requests for clarifications during
the application review process. Excluding draft permit review and negotiations.
Excluding contested case hearings.)

a. Prepare a Concentrate Management Letter documenting:
i. Concentrate discharge assumptions for pumped diffusion;
ii. Results of discharge modeling;and,
b. Brief the City; solicit their review comments and finalize the Concentrate
Management Strategies Letter;
c. Complete Site-Specific Assessments Required for TPDES Permit
i. CORMIX Model Run of Diffused Concentrate Discharge
ii. Preparing and filing Texas Land Application Permit (TLAP) for water treatment
sludge application and evaluation of potential use of water treatment sludge as
daily cover at the City's landfill.
iii. Prepare and file Marl,Sand, Gravel Shell,or Mudshell Permits
iv. Complete Special Requirements for Marine Seawater Desalination Discharge (30
TAC Ch. 318)
v. Prepare Conceptual Design of the Plant Intake and Outfall Facilities
a. Prepare and Hold Technical Team Coordination Call
b. Analyze options and select most viable type, location and configuration of
intake and outfall facilities for the Preferred Site(s)
c. Consider environmental or ecological constraints in design to avoid or minimize
impacts to resources. (In case the project requires a USACE IP review process
and Least Environmentally Damaging Practicable Alternative (LEDPA) must be
demonstrated.)
d. Prepare Intake/Outfall Selection Memo
e. Conduct Technical Team Review
f. Revise,finalize and deliver Intake/Outfall Selection Memo
vi. Coordinate and Attend Joint Evaluation Meeting(JEM)with USACE and appropriate
agencies.
a. Coordinate with US Army Corps of Engineers to identify required Section 10 and
404 Permit Authorizations.
i. This task would include a presentation of the proposed overall projects,
project components, actions, and potentially-regulated impacts to
various state and federal agencies.
ii. This includes briefing staff of Texas Commission on Environmental
Quality,Texas Parks and Wildlife Department,Texas General Land Office,
the US Army Corps of Engineers, National Marine Fisheries Service,
Environmental Protection Agency, and US Fish and Wildlife Service.
iii. This task would include initial discussions of potential project impacts to
federally-listed species.
iv. Results from the JEM would indicate a preferred USACE permitting
approach for the project.
vii. Attend meetings with other applicable resource agencies to confirm and/or define
other permitting requirements
viii. Preparing Water Rights and New Source Approval application
a. Environmental tasks to address Texas Water Code §§11.147, 11.1491, 11.150,
and 11.152 and Title 30 Texas Administrative Code §§297.53, 297.54, 297.55,
and 297.56
i. Attend two pre-application meetings with TCEQ WR Permit Staff to
identify permit application requirements and to obtain concurrence on
the desktop studies to be performed to support the WR Permit
application
ii. Perform desktop evaluation of project effects on bay/estuary inflows

based on TCEQ eFlow Rule
iii. Perform desktop evaluation of project effects on fish and wildlife habitat
iv. Perform desktop analysis of project effects on water quality
v. Perform desktop analysis of project effects on instream uses
vi. Prepare technical memorandum summarizing desktop studies for
inclusion with the TCEQ water right permit application
vii. This scope assumes that environmental studies will be prepared based
on desktop analysis of available information for effects on bay/estuary
inflow, fish and wildlife habitat, water quality and instream uses. Field
studies, if required and authorized, can be provided as additional
services.
D. PROJECT MANAGEMENT, MEETINGS,AND COORDINATION
1. Meetings
i. One (1) Kick-off Meeting;
ii. Coordination and facilitate meetings monthly with City staff;
iii. All meetings associated with the contract administration,project management,and
outreach will be approved by the City Project Manager(s) before they are
scheduled.
2. Scheduling and Status Reports
i. Provide project schedule and task-based Gantt Chart at the kickoff meeting;
ii. Provide monthly status reports including:
a. progress in the last month;
b. anticipated progress for the upcoming month;
c. upcoming submittals/milestones;
d. upcoming meetings/workshops,data requests/project needs; and
e. list of milestones denoting completion or notes for pending completion;
f. updated Gantt Chart.
iii. If needed, hold a monthly conference call with City to discuss the monthly status
report.
3. Communications and Public Outreach
i. Develop a summary level Outreach Plan and Protocol with objectives, milestones,
target stakeholders and partners, and logistics. This plan will need to be updated
throughout the project;
ii. Facilitation of key workshops or other meetings(e.g. Kick Off and Site Selection);
iii. Planning and facilitation of update sessions/meetings (maximum of 3 anticipated)
of industrial stakeholders to apprise them on project;
iv. Assist with preparation of materials for updates to City Council;
v. Assist with updates to interested area organizations, such as the Port of Corpus
Christi;
vi. Draft materials, as needed, for agency or other briefings to insure consistency of
approach;
vii. Draft summary documents on project suitable for media distribution or use on city
website (5 anticipated);
viii. Prepare,as needed, information for Project Delivery package;
ix. Participate, as requested, in conference calls or other team discussions and
meetings; and
x. On an on-going basis,identify potential outreach issues and as appropriate possible
action items.
xi. Attend and assist with updates to the Stakeholders Group.

4. Scope development and project coordination for future phases of the Owner's
Representative role.
E. TWDB FINANCIAL ASSISTANCE (SWIFT#1)—COMPLETED IN 2017
1. Assisted the City with preparation and filing of SWIFT Abridged Application;
2. Upon issuance of TWDB invitation to file a full SWIFT Application, assisted the City in
preparation of financial assistance application package for funding of the Supplemental
Project Definition and Permitting activities(Draft SWIFT Application);
3. Monitored TWDB's SWIFT financial assistance review process through financial close of
application;
4. Attended coordination meetings with TWDB and City Staff.
