Whereas, on July 26, 2016 the Corpus Christi Tax Increment Reinvestment Zone
No. 3 (the "TIRZ #3") authorized a Contract for Services between the City of
Corpus Christi (the "City"), as an agent of the TIRZ #3 and Walker Parking
Consultants(the"Contractor")for a Parking Management Study and Strategic Plan
for Downtown Corpus Christi (the "Agreement");
Whereas, Section 2 of the Agreement provided for a termination date of December
31, 2016;
Whereas, the City would like to engage the Contractor to perform additional
services related to the Agreement;
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
1) Section 1 of the Agreement is hereby amended to add additional services
to the scope as set for in the attached Amendment No. 1, Exhibit "A."
2) Section 2 of the Agreement is hereby amended to reflect an expiration date
of August 31, 2017.
3) Section 3 of the Agreement is hereby amended as set forth in the attached
Amendment No. 1, Exhibit "A" for a fee not to exceed $13.480, for a total restated
fee not to exceed 113.427.50.
4) All other terms and conditions of the previously executed Agreement
between the parties which are not inconsistent herewith shall continue in full force
and effect. This Amendment becomes effective upon execution by all parties.

Walker Parking Consultants(Walker)is pleased to submit for your review our proposal to
provide expanded stakeholder services and a refinement of the strategic
implementation plan for the City of Corpus Christi, Texas. The following outlines our
understanding of this additional scope of work, proposed schedule, fee, and general
conditions of agreement for consideration and discussion.
PROJECT UNDERSTANDING
In 2016, the City of Corpus Christi (Client) and TIRZ #3 engaged Walker to prepare a
Parking Management Study and Strategic Plan for the City of Corpus Christi.The scope
of services included the following tasks:
• Task 1 -Conduct Public and Internal Stakeholder Outreach;
• Task 2-Develop Downtown Parking Supply Database;
• Task 3-Develop a Parking Demand Assessment;
• Task 4-Develop a Strategic Implementation Plan;and
• Task 5-Presentations of Final Products to the City and Prepare an Executive
Summary of Findings
Walker initiated the project with public and internal stakeholder meetings during the
week of August 22, 2016. Tasks 2 through 4 were completed over the next 90-days,
however final presentations to the Client and TIRZ #3 were delayed due to November
2016 City Council elections and new leadership transitions.The final presentations were
delivered during the week of January 23,2017.
Subsequent internal City discussions have ensued since the January 2017 presentations
and the Client would like to engage the additional services of Walker to prepare a
refined strategic implementation plan, lead an expanded stakeholder meeting, and
present the refined plan to the TIRZ #3 Board in June or July. To assist with this plan,
Walker has prepared the following scope of services.

SCOPE OF SERVICES
1. Meet with the Client representatives to confirm the study objectives, review
project goals,discuss timeline of activities and update the project schedule.
2. Conduct on expanded stakeholder engagement meeting with various
stakeholder groups to be identified by the client.
3. Based on the outcome of the stakeholder meeting and the direction of the
Client, prepare a refined Strategic Implementation Plan for adoption by the
stakeholder groups and Tirz#3 Board and City Council.
4. Present refined Strategic Implementation Plan to TIRZ#3 Board and City Council.
SCHEDULE
Walker Parking Consultants is prepared to commence work upon receiving written
notice to proceed. Project milestones will include an expanded stakeholder
engagement meeting on Thursday, April 13, 2017; completion of refined Strategic
Implementation Plan for stakeholder adoption by May 15, 2017; and presentation to
TIRZ#3 Board and City Council for adoption in June or July 2017.
PROFESSIONAL FEES
Walker proposes to perform the Scope of Services described above for a lump sum fee
of Thirteen Thousand Four Hundred Eighty Dollars ($13,480), including all reimbursable
expenses in accordance with the attached General Conditions of Agreement. Two
meetings are included in this scope of services; any additional meetings, site visits or
services requested and approved by the Client will be billed at our hourly rates.
Walker is fully committed to meeting your requirements for this project and looks
forward to working with you to address your challenges and bring this project to a
successful conclusion for the benefit of all concerned parties.

SERVICES
Walker Parking Consultants ("WALKER") will provide the CLIENT professional services that are
limited to the work described in the attached letter ("the services") Any additional services
requested will be provided at our standard hourly rates or for a mutually agreed lump sum fee.
The services are provided solely in accordance with written information and documents
supplied by the CLIENT,and are limited to and furnished solely for the specific use disclosed to
us in writing by the CLIENT. No third-party beneficiary is contemplated. All documents
prepared or provided by WALKER are its instruments of service,and any use for modifications
or extensions of this work, for new projects, or for completion of this project by others without
WALKER'S specific written consent wiA be at CLIENT's sole risk.
PAYMENT FOR SERVICES
WALKER will submit monthly invoices based on work completed. Payment is due upon receipt
of invoice. If for any reason the CLIENT does not deliver payment to WALKER within thirty(30)
days of date of invoice, WALKER may, at its option,suspend or withhold services.The CLIENT
agrees to pay WALKER a monthly late charge of one and one half percent (I%%) per month
of any unpaid balance of the invoice plus attorney's fees and other costs incurred to collect
the unpaid sum.
STANDARD OF CARE
WALKER will perform the services in accordance with generally accepted standards of the
profession using applicable building codes in effect at time of execution of this Agreement.
WALKER's liability caused by its acts, errors or omissions shall be limited to the fee or$10,000,
whichever is greater.
Any estimates or projections provided by WALKER will be premised in part upon assumptions
provided by the CLIENT. WALKER will not independently investigate the accuracy of the
assumptions. Because of the inherent uncertainty and probable variation of the assumptions,
actual results will vary from estimated or projected results and such variations may be material.
As such,WALKER makes no warranty or representation,express or implied,as to the accuracy
of the estimates or projections.
PERIOD OF SERVICE
Services shall be complete the earlier of(I) the date when final documents are accepted by
the CLIENT or(2)thirty(30)days after final documents are delivered to the CLIENT.

Explanation of Request: After discussion of the Parking Management Study & Strategic
Plan with the TIRZ #3 Board, Staff & DMD recognized the need to expand Stakeholder
engagement and create an adoptable document for implementation. To do so, Staff needs
continued engagement with Walker Parking Consultants. Staff requested a proposal from
Walker for the necessary scope, which is attached. Walker initially quoted a $23,900 cost, but
after further conversations modified the scope and cost down to a total of $13,480. In the FY
2017 TIRZ #3 Budget, we have $50,000 budgeted for further work as necessary.
We have identified April 13th as an appropriate Stakeholder Meeting date and would like to
proceed with arrangements as soon as possible.

Subject: Parking Management Study and Strategic Plan — Additional Work
Issue
The additional Parking Study work discussed at the March 28th TIRZ #3 Board Meeting requires an
amendment to the Parking Study Contract with Walker Parking Consultants in an amount of
$13,480. City Policy allows amendments of this size to be approved administratively. However,
upon routing the documents for approval we recognized there was no precedence as to whether
this City Policy automatically transfers to our TIRZ #3 activity.
Background
City Council has delegated authority to the TIRZ #3 Board to approve contracts and expenditures
of funds in accordance with the Project Plan. The Parking Study Contract for $99,940.50 was
approved by the TIRZ #3 Board on July 8, 2016. Walker's initial proposal for the Study was
$122,420.00, but we negotiated to fit within our $100,000 FY 16 budget. The FY 17 budget
contains $50,000 for FY 17 for the next phase of implementation.
The Study was completed in January 2017. Given the TIRZ #3 Board discussions and complexity
of the plan, greater stakeholder engagement and policy refinement is needed in the next phase of
implementation. On March 28th, staff proposed to expand stakeholder engagement and develop a
strategic document for adoption by appropriate City Boards & Committees. Feedback was positive.
We shared the scope with Walker, who then received special approval from their upper
management to give us preferred rates, including travel, for $13,480. Our legal determined a
contract amendment as the appropriate vehicle to proceed, at which time we realized we had not
established formally that the City Policy automatically applies to TIRZ #3.
Conclusion
We considered to delay the project, but decided to move forward as 1) we told the Board that we
would engage stakeholders during April, and 2) this contract amendment can be done
administratively under City Policy. However, we will bring back a formal action item on April 25th to
adopt the City's Policy as TIRZ #3 policy and eliminate confusion moving forward.
