A MONTH TO MONTH BASIS FOR THE CORPUS CHRISTI MUSEUM OF SCIENCE
AND HISTORY BETWEEN THE CITY OF CORPUS CHRISTI AND CCMJV, LLC
WHEREAS, an extension of the current agreement is needed to allow further
negotiation between the City and CCMJV, LLC for a subsequent agreement.
This agreement extends the Professional Service Management Agreement as
amended between the City of Corpus Christi ("City"), a Texas home rule municipal
corporation, and CCMJV, LLC ("CCMJV"), a Texas limited liability company, for
management of the Corpus Christi Museum of Science and History.
NOW, THEREFORE, in consideration of the mutual covenants herein, the Parties agree
to extend the Professional Service Management Agreement as amended as follows:
The Term of the Professional Service Management Agreement for the Corpus Christi
Museum of Science and History as amended ending on September 30, 2017 and as
extended to October 31, 2017 is to continue under the terms of the previously executed
Agreement on a month-to-month basis, not to extend further than February 1, 2018.
This Agreement automatically expires February 1, 2018. This Agreement automatically
expires on the effective date of a new contract. This extension agreement is effective
upon execution by both parties. Either party may terminate this Agreement upon 7 days'
written notice prior to the end of a month.
1. Monthly Operating Support Payments ("Payments") will be funded during the
term of the Extension on the first day of each month. There will be no deductions
from the Payments for additional payroll, supplies, worker's compensation claims,
legal fees, or other expenses or costs claimed by the City during the term of this
Extension.
2. The Museum closed on October 13, 2017 and is currently closed to the public
for mold remediation. CCMJV will receive a management fee of$5,000.00
monthly while the facility is closed to the public, commencing on October 13,
2017. The previous month's management fee is to be paid the following month
on the first day of the month. The management fee will be prorated for the days
the Museum is closed to the public. The management fee ends upon the
Museum opening to the public.
3. The City and CCMJV agree that they will negotiate in good faith a new
Professional Service Management Agreement prior to the Museum reopening.
4. To the extent that the provisions of this Extension of the Professional Service •
Management Agreement on a Month to Month Basis for the Corpus Christi •
Museum of Science and History Between the City of Corpus Christi and CCMJV,
LLC conflict with the preexisting Management Agreement or any Amendments
thereto, the terms of this Extension shall prevail.
