HomeMy WebLinkAboutC2017-589 - 12/19/2017 - NA UTILITY RELOCATION REIMBURSEMENT AGREEMENT This Utility Relocation Reimbursement Agreement ("Agreement") is entered into between the City of Corpus Christi, Texas ("City") and Buckeye Texas Processing, LLC (the "Utility"). WHEREAS, voters approved the Southern Minerals Road, from Up River Road to IH-37 Access Road improvement project (Project) in Bond 2014, Proposition One; WHEREAS, the Project includes full-depth repair of the existing two lane rural roadway with paved shoulders and a designated turn lane at Up River Road; WHEREAS, the Utility is the owner of certain facilities located within the proposed right of way for the Project; WHEREAS, the Utility is required by law to perform certain facility modification/relocation work ("Work"); WHEREAS, the Utility has submitted a sworn affidavit and supporting documentation attached as Exhibit A that shows Utility has a property interest prior in time to the City's that requires the City to compensate Utility for reasonable relocation expenses; and WHEREAS, the Utility has completed the Work by relocating and lowering 751 feet of pipeline by directional drilling. The detailed construction estimate is attached as Exhibit B; and WHEREAS, this Agreement sets forth the terms and conditions by which the Utility will be reimbursed for qualifying relocation costs. NOW, THEREFORE, the City and Utility agree as follows: 1 . The cost of the Work to be performed as shown in Exhibit B is $979,597 ("Cost"). The City's pro-rata share of the Cost and the amount to be paid to the Utility is $23, 479 ("Reimbursement Amount"). 2. Upon completion of the Work, Utility shall submit an invoice to the City that includes a copy of all receipts for reimbursable expenses. 3. City shall pay to Utility the Reimbursement Amount within 30 days of receipt of the invoice. 4. THIS INDEMNITY SURVIVES TERMINATION OF THIS AGREEMENT. 5. General Terms and Conditions: A. Entire Agreement. This Agreement contains the entire agreement of the Parties, and there are no other agreements or promises, oral or written between the Parties regarding the subject matter of this Agreement. This Agreement can be amended only by written agreement signed by the Parties. This Agreement supersedes all other agreements between the Parties concerning the subject matter hereof. B. Assignment. This Agreement and the rights of the Utility may be assigned to any subsequent owner of the adjacent property owned by Utility, subject to the prior written consent of the City, which consent will not be unreasonably withheld. Any assignment will be in writing, will specifically set forth the assigned rights and obligations and will be executed by the proposed assignee. C. Notice. Any notice given under this Agreement must be in writing and may be given: (i) by depositing it in the United States mail, certified, with return receipt requested, addressed to the party to be notified and with all charges prepaid; (ii) by depositing it with Federal Express or another service guaranteeing "next day delivery", addressed to the party to be notified and with all charges prepaid; (iii) by personally delivering it to the party, or any agent of the party listed in this Agreement; or (iv) by facsimile with confirming copy sent by one of the other described methods of notice set forth. Notice by United States mail will be effective on the earlier of the date of receipt or three (3) days after the date of mailing. Notice given in any other manner will be effective only when received. The Utility may, by giving at least five (5) days' written notice to the City, designate additional parties to receive copies of notices under this Agreement. D. Severability; Waiver. If any provision of this Agreement is illegal, invalid, or unenforceable, under present or future laws, it is the intention of the Parties that the remainder of this Agreement not be affected, and, in lieu of each illegal, invalid, or unenforceable provision, that a provision be added to this Agreement which is legal, valid, and enforceable and is as similar in terms to the illegal, invalid, or enforceable provision as is possible. Each of the rights and obligations of the Parties hereto are separate covenants. Any failure by a party to insist upon strict performance by the other party of any provision of this Agreement will not be deemed a waiver of such provision or of any other provision, and such party may at any time thereafter insist upon strict performance of any and all of the provisions of this Agreement. E. Applicable Law and Venue. The laws of the State of Texas govern the interpretation, performance, enforcement and validity of this Agreement. Venue will be in a court of appropriate jurisdiction in Nueces County, Texas. F. Exhibits, Headings. All schedules and exhibits referred to in or attached to this Agreement are incorporated into and made a part of this Agreement for all purposes. The section headings contained in this Agreement are for convenience only and do not enlarge or limit the scope or meaning of the sections. G. Authority for Execution. The City certifies, represents and warrants that the execution of this Agreement is duly authorized and adopted in conformity with Page 3 of 5 City ordinances. The Utility hereby certifies, represents and warrants that the execution of this Agreement is duly authorized and adopted in conformity with the certificate of formation and organizational documents. H. Relationship of Parties. In performing this Agreement, both the City and Utility will act in an individual capacity, and not as agents, representatives, employees, employers, partners, joint-venturers, or associates of one another. The employees or agents of either party may not be, nor be construed to be, the employees or agents of the other party for any purpose. I. Survival of Terms. All representations, warranties, covenants and agreements of the Parties, as well as any rights and benefits of the Parties pertaining to the transaction contemplated hereby, will survive the original execution date of this agreement. This Agreement becomes effective on the date that the last party signs and shall remain in effect until payment has been made. L.P. to Air Liquide America Corp. — 18 Dec 1996 i7 • DOCN 1998056979 a}a� ASSIGNMENT OF RIGHT OF WAY For valuable consideration received,and pursuant to that catain Purchase and Sale Agreement dated Dena.bar- 18, 19%("Agreement")by and between Koch Pipeline Company,L.P.,4111 East 37th Street Noah,Wichita,Kwan 67220("Koch")and Ah Liquide America Corporation("Air Liquide"),Koch does hereby sell,transfer,and assign to Air Liquid; its successors and assigns,without wsnanty of title all of Koch's right,title,and interest in and to the right of way easements,permits,and licenses(collectively refined to hereinafter as the "Easements"),as listed in Exhibit A,which is attached hereto and made a part of this Assignment of Right of Way for W purposes,associated with the pipeline transiened to Air Liquide pursuant to the Agreement,the approximate locations of which pipeline are as shown in Exhibit B,which is attached hereto and made a part of this Assignment of Rig$of Way for W purposes. For the same consideration,Air Liquide agrees to be bound by the tams,conditions,and covenants of the assigned Easements subsequent to the due hereof. This Assignment of Right of Way is accented.delivered,and accepted pursuant to the Agreement and the provisions of the Agreement shall survive the execution,deliverance,and acceptance of this A signment of Rigidof-Way. Air Liquide and its successors and assigns shag not use mach Easement.(and the associated pipeline purchased from Koch pursuant to the Agreement)for the transportation of any liquid hydrocarbon(without the prior approval of Koch,with Koch having the right to withhold such approvals in in sole discretion). This restriction on use shall he transferred by Air Liquide to any subsequent purchaser of all or any part of the Easements. This restriction on the use of the Easements shall remain hi force for the twenty-one year period immediately following the date of this Assignment of Right-of-Way. RIGHT OF FIRST REFUSAL-Air Liquide agrees that at least sixty(60)days prior to the date on which Air Liquide antidpates receiving any offers to purchase the Easements(or any portion of the Easements)in respells.to any solicitation by Air Liquid;Air Liquide will notify Koch in writing of such solicitations,and in the event that Air Liquide receives an offer to purchase the Easements(or any portion of the Easements)that Air Liquide deems to be acceptable,then prior to such tale(or other disposition)Air Liquide shall offer Roth the right to match the terms and conditions of such offer. To effect this process,Air Liquide shall provide Koch with a written summary of the transaction(which shag contain all the relevant terms and condition;but which will maintain the confidentiality of such offering party),upon receipt of which Koch shall have twenty(20)business days to elect to exercise its right of purchase hereunder. In the event that Koch fails to notify Air Liquide of Koch's election within such time period or if Koch elects to not exercise its purchase option,Mr Ligdde may proceed with the sale(or other disposition)of the Easements(or the portion at issue)to the relevant third party. If,however,subsequent to Koch's decision,the terve and conditions of such mak(or other disposition)materially change,Mr Liquide agrees to re-offer the Easements(or the portion at issue)to Koch under the process 1 described above. This right of purchase shag remain in force for the twenty-one year period immediately following die date of this Assignment of Right-of-Way. Koch hereby assigns to Air Liquide and Air Liquide shall be subrogated and succeed to all rights.prescriptive rights,claims,demands,and causes of action that Koch may have against predecessors in interest with respect to title to the Easements transferred pursuant to this Assignment of Right of Way. All capitalized tents used but not defined herein shall have the meaning ascribed to such term in that certain Purchase and Sale Agreement dated es of January 31, 2014 by and between Grantor,as Grantor,and Grantee,as Grantee(the"PSA"). For and in consideration of the sum of$10.00 and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Grantor has GRANTED, BARGAINED, SOLD, CONVEYED, TRANSFERRED AND ASSIGNED, and by these presents does GRANT, BARGAIN, SELL, CONVEY, TRANSFER AND ASSIGN, unto Grantee, all of Grantor's right,title and interest in and to those certain easements, rights of way or similar property use agreements to the extent necessary for assignment of the Pipeline (collectively, the "Easements'), which Easements are listed on Exhibit A attached hereto, relating to the approximate nine(9) mile pipeline located in Nueces County, Texas and depicted on Exhibit B attached hereto (the "Pipeline'). Grantee acknowledges and agrees that(I)Grantor is retaining certain pipelines that are covered by the Easements, and (2) only that right,title and interest of Grantor needed for the Pipeline pursuant to the PSA is being transferred to Grantee hereunder. Grantee hereby accepts the transfers and assignments set forth in this Partial Assignment and assumes all of Grantor's obligations under or in connection with the Easements from and after the Effective Time or such later time as any of the transfers and assignments contemplated by this Partial Assignment may become effective pursuant to the terms and provisions of this Partial Assignment. This Partial Assignment and the conveyances, transfers and assignments hereinabove set forth are made and executed by Grantor and accepted by Grantee subject to all easements, restrictions, reservations, covenants, encumbrances and other matters now of record, and all matters that would be disclosed by a current, accurate survey of the Pipeline (collectively, the "Permitted Encumbrances'). The Easements are hereby transferred and assigned to, and accepted and assumed by, Grantee in their present condition, "AS IS,WHERE IS, WITH ALL FAULTS, AND WITHOUT ANY WARRANTY WHATSOEVER, EXPRESS OR IMPLIED." US 2265424v.3 Grantor and Grantee, acknowledge that certain Post-Closing Consents (defined below) may not have been obtained as of the Effective Time(defined below),and that the conveyance of the Consent Assets (defined below) shall be conditioned upon and subject to obtaining any required Post-Closing Consents. As used herein, (1) "Consent Assets" means any of the Easements with respect to which Post-Closing Consents are required to be obtained, and (2) "Post-Closing Consents" mean any consents, approvals or permits of,or filings with or notices to, any governmental entity or other third party that is required, either expressly or by operation of law, in connection with a transfer, conveyance or assignment of an Easement. Without limiting the generality of the foregoing, Post-Closing Consents shall include consents, approvals or permits of, or filings with or notices to, any governmental entity, railroad company or public utility which has issued or granted any permit, license, right-of-way, lease or other authorization pursuant to which all or any portion of the Pipeline cross over, under or through, or are located on, under or in, any land owned or controlled by such governmental entity,railroad company or public utility. Subject to the proviso at the end of this sentence,Grantor shall be deemed to have granted to Grantee a license to access,use,operate and otherwise enjoy the benefits of ownership of the Consent Assets (the "License") from and after the Effective Time until such time as the applicable Post-Closing Consents are obtained; provided that the License shall only be deemed to have been granted hereby if and to the extent the grant thereof does not(a)breach or otherwise violate, or result in a default or event of default under, the rights-of-way or other instruments vesting in Grantor rights in and to the Consent Assets, or (b) violate applicable law or legal requirements. Subject to the proviso at the end of this sentence, with respect to any portion or portions of the Consent Assets to which the License is not applicable,Grantor shall be deemed to have agreed to hold such portion or portions of the Consent Assets, and the rights and benefits of ownership thereof, in trust for the benefit of Grantee until such time as the applicable Post- Closing Consent is obtained; provided that such agreement of Grantor shall only be applicable if and to the extent the same does not(i) breach or otherwise violate, or result in a default or event of default under, the rights-of-way or other instruments vesting in Grantor rights in and to the Consent Assets,or(ii)violate applicable law or legal requirements. Grantor and Grantee agree to execute, acknowledge and deliver to each other such additional instruments, agreements, notices and documents, and to do all such other and further acts and things, as may be reasonably necessary or desirable to more fully and effectively evidence and effect the transfer and assignment of the Easements. This Partial Assignment may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Additionally, separate transfers or assignments of certain Easements may be executed on such forms as may be required, and in sufficient counterparts, to satisfy applicable statutory and regulatory requirements. For the period of forty (40) years from and after the date of the PSA, and except as otherwise prohibited by applicable law, Grantee and its successors and assigns shall not use the Acquired Assets for the transportation of any industrial gases, including the following: hydrogen,nitrogen, carbon dioxide,carbon monoxide,helium, argon,compressed dry air,syngas or oxygen, to the extent such materials are of typical industrial gas quality (the "Restricted Gases"). The above restrictions are herein collectively referred to as the "Use Restrictions". Exceptions to the Use Restrictions shall be granted by Grantor in writing in its sole discretion. 2 US 2263424v.3 The Use Restrictions shall be transferred by Grantee to any subsequent purchaser of all or any part of the Acquired Assets. Grantee further agrees that in the event that Grantee receives an offer to sell the Acquired Assets that Grantee deems acceptable,then prior to such sale(or other disposition), Grantee shall offer Grantor the right to match the terms and conditions of such offer. To effect this process, Grantee shall provide Grantor with a written notice of the offer(which shall contain all relevant terms, but shall maintain the confidentiality of the offering party or parties), upon receipt of which Grantor shall have twenty (20) business days to elect in writing to exercise its right of purchase hereunder on the same terms and conditions as contained in the original offer. In the event Grantor fails to so notify Grantee of Grantor's election within such time period,if Grantor elects not to exercise its purchase option or if Grantor properly elects to exercise its purchase option but fails to acquire the Acquired Assets within ninety (90) business days following the date of such election, Grantee may proceed with the sale (or other disposition) of the Acquired Assets to the relevant third party or parties. If, however, subsequent to Grantor's decision, the terms and conditions of such offer, sale (or other disposition)materially change, Grantee agrees to re-offer the Acquired Assets to Grantor under the process described above, This right of purchase shall remain in force for the twenty-five (25) year period immediately following the date of closing under the PSA; provided, however, if Grantor fails or is unable to timely exercise its right of purchase hereunder with respect to the Acquired Assets, such right of purchase shall lapse, time being of the essence with respect to the exercise thereof(it being understood that Grantor's right hereunder is a one-time right only as to the Acquired Assets the first time it is offered to Grantor hereunder), and Grantee may thereafter sell all or any portion of the Acquired Assets to third parties on such terms as Grantee may elect. For clarity, the parties acknowledge and agree that Grantor's purchase rights hereunder relate only to the Acquired Assets and do not entitle Grantor to any right to acquire any assets of Grantee(other than the Acquired Assets) in any contemplated sale to a third party. Notwithstanding the foregoing paragraph, Grantor's purchase rights hereunder shall not be triggered by the following: (I) offers, sales or other dispositions to an Affiliate of Grantee; provided,however,that in the event the Acquired Assets are sold or disposed of to an Affiliate of Grantee, such Affiliate of Grantee shall remain obligated under the provisions hereof concerning Grantor's purchase rights; (2) offers, sales or other dispositions to an entity (other than an entity primarily engaged in the business of selling Restricted Gases) in conjunction with a sale, transaction, or other disposition of Grantee's facilities located along the Corpus Christi ship channel in Nueces County, Texas, in a single transaction or series of related transactions, provided however that such third party purchaser of the Acquired Assets shall remain obligated under the provisions hereof concerning Grantor's purchase rights; or(3) any indirect transfer of the Acquired Assets, including a change of control of Grantee's parent (Trafigura Terminals LLC, a Delaware Limited liability company), its successors and assigns,provided however such third party transferee of Grantee's parent shall remain obligated under the provisions hereof concerning Grantor's purchase rights.
