TO AGREEMENT
BETWEEN
OWNER AND ENGINEER
This Amendment No:2 is made and entered into this 26th day of February,2019 to the Agreement between CDM
Smith
Inc.(CDM Smith)("ENGINEER")and City of Corpus Christi("OWNER")dated May--14 September 22,2017,("the
Agreement").
WHEREAS,ENGINEER and OWNER entered into the Agreement for the Strategic Integration Travel
Demand Model Feasibility Study(Project No.T1 6356),and
WHEREAS,the parties desire to amend the Agreement so as to amend the scope of work,time periods of
performance and payment,and/or responsibilities of OWNER;and
WHEREAS,the Agreement provides that any amendments shall be valid only when expressed in writing
and signed by the parties.
NOW THEREFORE,in consideration of the mutual understandings and Agreements contained herein,the
parties agree to amend the Agreement as follows:
1. The Basic Services of ENGINEER as described in the Agreement are amended and supplemented as follows:

2. The responsibilities of OWNER as described in the Agreement are amended and supplemented as follows:
Not Applicable.
3. The time periods for the performance of ENGINEER's services as set forth in the Agreement are amended and
supplemented as follows:
The completion date has been extended to August 31, 2019 in accordance to the TxDOT Advanced Funding
Agreement.The schedule extension is shown in Exhibit A
4. The payment for services rendered by ENGINEER shall be as set forth below:

5. Except as herein modified,all terms and conditions of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF,the parties hereto have executed this amendment on the date indicated above for the purpose
herein expressed.

ADVANCE FUNDING AGREEMENT
AMENDMENT# 1
THIS AMENDMENT is made by and between the State of Texas, acting through the Texas
Department of Transportation, called the State, and City of Corpus Christi, acting by and through duly
authorized officials, called the Local Government.
WITNESSETH
WHEREAS, the State and the Local Government executed a contract on February 91h of 2017 to
effectuate their agreement to implement the Strategic Integration (Travel Demand Model (TDM) and,
WHEREAS, it has become necessary to amend that contract;
WHEREAS, it has become necessary to extend the contract date;
NOW THEREFORE, in consideration of the premises and of the mutual covenants and agreements
of the parties, the State and the Local Government do agree as follows:
AGREEMENT
1. Description of Amended Items
Article 1. Period of the Agreement is amended to extend the termination date from
December 31, 2017 to August 31, 2019.
Attachment B, Scope of Work, is amended to replace under the Deliverables of each Task
references to "the agreement" or"this agreement" with "this amendment."
All other provisions of the original contract are unchanged and remain in full force and effect.
2. Signatory Warranty
Each signatory warrants that the signatory has necessary authority to execute this agreement on
behalf of the entity represented.
