BETWEEN THE CITY OF CORPUS CHRISTI AND
TEXAS A&M UNIVERSITY—CORPUS CHRISTI
DRONE TRAFFIC MANAGEMENT STUDY PROJECT
This Interlocal Cooperation Agreement ("Agreement") is made between the City of
Corpus Christi,Texas, ("City"), a municipal corporation and home-rule city, acting by and through
its governing body,the City Council, and Texas A&M University-Corpus Christi, a member of The
Texas A&M University System, an agency of the State of Texas ("University").
WHEREAS, the University has been selected by the National Aeronautical and Space
Administration ("NASA") for a drone traffic management study which focuses on drone
communication, collision avoidance, safe landing, services that support UAS operations, and
safety in an urban landscape.
WHEREAS,the University wishes to engage the services of the City to secure testing sites as part
of the NASA study.
WHEREAS, the University and the City are authorized by Chapter 791 of the Texas Government
Code to enter into an interlocal cooperation contract;
WHEREAS, Section 791.035 of the Texas Government Code states that a local government and
an institution of higher education or university system may contract with one another to perform
any governmental functions and services;
NOW, THEREFORE, BE IT AGREED BY THE CITY OF CORPUS CHRISTI AND
TEXAS A&M UNIVERSITY-CORPUS CHRISTI:
The parties agree that neither party is an agent, servant or employee of the other party and each
party agrees it is responsible for its individual acts and deeds as well as the acts and deeds of its
contractors, employees,representatives and agents.
1. PURPOSE. The purpose of this Agreement is for the City to provide law enforcement and
public safety services involving Corpus Christi Police Department and Corpus Christi Fire
Department for the University as further described in Exhibits A and B.
2. STATEMENT OF WORK. The City agrees to perform all services as outlined in Exhibits A
and B.
3. PERIOD OF PERFORMANCE. The work described in Exhibits A and B shall be conducted
during the 2019 Calendar year, unless earlier terminated in accordance with Section 5
below.

4. PRICE AND PAYMENT.
A. As compensation for the performance of services and work performed under this
Agreement, the University agrees to pay the City $54.96 per hour per police officer,
not to exceed $86,070, and the per hour cost of each fire fighter, not to exceed
$65,600, as further described in Exhibit C, which the City acknowledges is full cost
recovery of all services provided by or thru the City under this Agreement.
B. The parties agree that all expenditures under this Agreement shall be paid with
current revenues of the paying party.
C. The parties acknowledge that continuation of this Agreement beyond the
University's current fiscal year is subject to its annual budget process and
appropriation of funds.

5. TERMINATION. Performance under this Agreement may be terminated by either party
with or without cause upon 30 days of written notice.
6. NOTICES. All notices to parties under this Agreement shall be in writing and sent to the
names and address stated below. Either party to the Agreement may change the name
and address by notice to the other in accordance herewith, and any change shall take
effect immediately upon receipt of the notice.

Exhibit "C"
Price and Payment
This is the basis for a not to exceed cost estimate, if all fire and police department personnel used are on
overtime. Overtime rates vary by firefighter but an average rate is$40 per hour. Police support will be
paid at the standard rate of$54.96 per hour. No travel costs is associated with this scope of work.
Invoices will be for actual hours worked.

Scenario 1 (one aircraft, 2 fire department personnel)

Flight Testing support—160 hours total time x$40= $6400

• Estimated 3 days of testing(1 day for Shakedown, 2 days for Testing/weather considerations); 6
hours per day; 18 hours per officer

Scenario 1—"Adverse Weather"
• 26 officers
o Responsibility: Assist with ensuring general public does not enter Launch & Recovery
(L/R) areas. L/R areas will be spread along the Bayfront: Cole Park(2), McGee
Beach/Waterfront Park, Corpus Christi Marina central T-head*
• Estimated 3 days of testing(1 day for Shakedown, 2 days for Testing/weather considerations);6
hours per day; 18 hours per officer
Scenario 2—"Pop-up Concert"
• 22 officers
o Responsibility: Assist with ensuring general public does not enter L/R areas: Cole Park
(2),Water's Edge Park (1)'*; One officer to participate in test by utilizing Unmanned
Service Supplier(USS)technology to identify various drones and their pilots. Exact
specifications of test would be provided in Test Plan 2.
• Estimated 3 days of testing(1 day for Shakedown, 2 days for Testing/weather considerations); 6
hours per day; 18 hours per officer
Scenario 3—"Controlled Airspace"
• 8 officers
o Responsibility: Assist with ensuring general public does not enter L/R areas: Cole Park
(2),Airport Property*, and possible others; One officer to participate in test by utilizing
Unmanned Service Supplier(USS)technology to identify various drones and their pilots.
Exact specifications of test would be provided in Test Plan 2.
• Estimated 3 days of testing(1 day for Shakedown, 2 days for Testing/weather considerations); 6
hours per day; 18 hours per officer
Scenario 4—"Urban Canyon"
• 22 officers
o Responsibility: Assist with ensuring general public does not enter L/R areas: Bayfront
Science Park, Bayfront Park, Shoreline Blvd and possible others; 1-2 officers to
participate in test by utilizing Unmanned Service Supplier(USS)technology to identify
various drones and their pilots. Exact specifications of test would be provided in Test
Plan 2.
• Estimated 3 days of testing(1 day for Shakedown, 2 days for Testing/weather considerations); 6
hours per day; 18 hours per officer

7. AMENDMENTS AUTHORIZED. The representatives who were authorized to sign this
Agreement are authorized to execute minor amendments to this Agreement, to extend
deadlines or minor changes in the scope of work.
8. SEVERABILITY. If any of the provisions of the Agreement in the application thereof to any
person or circumstance, is rendered or declared illegal for any reason, or shall be invalid
or unenforceable, the remainder of the Agreement and the application of the provision
to other persons or circumstances shall not be affected thereby but shall be enforced to
the greatest extent by applicable law. The City and the University agree that this
Agreement shall be reformed to replace the stricken provision or part thereof with a valid
and enforceable provision that comes as close as possible to expressing the intention of
the stricken provision.
9. DISPUTE RESOLUTION PROCESS. To the extent applicable, the dispute resolution
procedures provided in Chapter 2260 of the Texas Government Code will be used to
resolve contract claims under this Agreement.
10. MISCELLANEOUS.This Agreement constitutes the entire agreement between the parties
relative to the subject matter and may only be modified or amended by a written
agreement signed by both parties. It shall be construed in accordance with the laws of
the State of Texas.
